C4 Therapeutics, Inc. (Nasdaq: [CCCC](https://aibio.space/companies/c4-therapeutics/)) stockholders approved an amendment to the company's Fifth Amended and Restated Certificate of Incorporation at the annual meeting on June 18, 2025. The amendment raises authorized common stock from 150,000,000 shares to 300,000,000 shares. The company filed a Certificate of Amendment with the Secretary of State of Delaware the same day, and it took effect on filing. The [Form 8-K](https://www.sec.gov/Archives/edgar/data/1662579/000162828025032155/cccc-20250618.htm) reports the charter change under Item 5.03 and the votes under Item 5.07.

## The vote on the share increase

The proposal received 39,547,136 votes for, 20,664,896 against and 95,178 abstentions. The 8-K lists no broker non-votes on this proposal. Opposition of that size is substantial for a charter change that adds room to issue stock. The 8-K does not give the board's reason for asking for the additional shares. It refers readers to the proxy statement filed April 29, 2025.

The same meeting elected three Class II directors to serve until the 2028 annual meeting, with 10,514,206 broker non-votes on the director election and the pay vote: Ronald Harold Wilfred Cooper, Donna Grogan, M.D., and Steven Hoerter. Cooper drew the most votes withheld of the three, 10,829,443, against 38,963,561 for. Hoerter received 49,604,182 for and 188,822 withheld.

Stockholders approved the advisory vote on executive pay with 48,851,725 votes for and 889,711 against. They also ratified KPMG LLP as the auditor for the fiscal year ending December 31, 2025, with 60,179,540 votes for and 79,871 against.

## What the company does

C4 describes itself in its 10-K, filed February 27, 2025, as a clinical-stage biopharmaceutical company built on targeted protein degradation. Its TORPEDO platform designs small-molecule degraders that tag disease-causing proteins for destruction. The most advanced candidate, cemsidomide, is an oral MonoDAC degrader in clinical development for multiple myeloma and non-Hodgkin lymphoma. The Food and Drug Administration granted it orphan drug designation for myeloma in August 2021.

In December 2024 the company shared data from cemsidomide combined with dexamethasone in myeloma, which it said showed a "well-tolerated safety profile with compelling anti-myeloma activity." Those results come from an ongoing Phase 1/2 trial. The 10-K is the company's own account, and the business section gives no response rate for it. Data from one ongoing trial do not show whether the drug works or how long it stays safe.

The second candidate, CFT1946, is an oral BiDAC degrader aimed at BRAF V600 mutant cancers, including melanoma and colorectal cancer. In September 2024 the company presented monotherapy data from its Phase 1/2 trial, saying the drug was "well tolerated with initial signs of anti-tumor activity across all dose levels." That is an early signal, not evidence of benefit.

A third program, CFT8919, targets EGFR with an L858R mutation in lung cancer. In May 2023 C4 licensed it to Betta Pharma for mainland China, Hong Kong, Macau and Taiwan, and kept the rest of the world. Betta started a Phase 1 trial in Greater China in November 2024. C4 says data from that trial will shape its plans outside China.

## Money and what comes next

The 8-K reports no cash balance, operating loss or cash use, and the 10-K business section gives none of those figures either. The 8-K also does not say whether the company plans to issue any of the new shares. A larger authorized count leaves that decision to the board.

The 10-K says that, based on its clinical trial results, the company will work with the FDA on expedited development and accelerated approval pathways. It gives no date for those talks. Votes against the increase totaled 20,664,896, and the 8-K sets no timetable for using the new shares.
