BriaCell Therapeutics [announced the pricing of a best-efforts public offering on Jan. 13, 2026](https://briacell.com/briacell-therapeutics-announces-pricing-of-30-million-public-offering/): 5,366,726 units at $5.59 each, for gross proceeds of about $30 million. Each unit pairs one common share, or a pre-funded warrant in place of it, with one warrant to buy another share. BriaCell calls itself a clinical-stage company that develops immunotherapies for cancer, and its shares trade on Nasdaq and the Toronto Stock Exchange.

## What happened

The company [said it would use the net proceeds](https://briacell.com/briacell-therapeutics-announces-pricing-of-30-million-public-offering/) for working capital, general corporate purposes and its business objectives. It did not give a more specific plan in the pricing release. The warrants were approved for Nasdaq listing and were expected to begin trading on Jan. 14 under the symbol BCTXL.

The deal closed on Jan. 15, according to the company's [Form 8-K](https://www.sec.gov/Archives/edgar/data/1610820/000149315226002430/form8-k.htm). At closing it had issued 4,327,530 common units and 1,039,196 pre-funded units, at $5.59 and $5.589 respectively.

## Deal terms

Each [warrant is exercisable immediately at $6.93 a share](https://briacell.com/briacell-therapeutics-announces-pricing-of-30-million-public-offering/) and expires five years after issue. Shares and warrants could be bought only together but were issued separately. Pre-funded warrants carry an exercise price of $0.001.

ThinkEquity was the sole placement agent, on a best-efforts basis, meaning it was not obliged to sell any minimum. The 8-K says the company paid it a cash fee of 6.25% of gross proceeds and issued it warrants for 161,001 common shares at $8.385, exercisable until Jan. 13, 2031. The offering was registered on Form S-1, which was filed Dec. 23, 2025 and became effective Jan. 13; a [Rule 462(b) filing](https://www.sec.gov/Archives/edgar/data/1610820/000149315226002103/forms-1mef.htm) the same day added up to $11,562,500 of securities to the registration.

The release also relied on a Toronto Stock Exchange rule that lets the exchange skip its own standards for certain deals by companies listed on both exchanges.

## Why it matters

The [pricing release](https://briacell.com/briacell-therapeutics-announces-pricing-of-30-million-public-offering/) and the sources reviewed for this article do not include BriaCell's cash balance, its clinical timelines or data. The pricing release and the 8-K describe the financing only. A reader who wants to judge what $30 million buys should read BriaCell's latest quarterly and annual filings for the burn rate and trial schedule.

What the [documents](https://www.sec.gov/Archives/edgar/data/1610820/000149315226002430/form8-k.htm) do show is the structure. The warrants give holders the right to buy as many shares as were sold in the units. At $6.93 each, full exercise of the 5,366,726 warrants would bring in about $37.2 million more, by simple multiplication. That is only possible if the stock trades above the strike, which makes the warrants a possible second source of money and also a source of future dilution.

## What it means for investors

Units with attached warrants add a layer of dilution that a plain common-stock sale does not. Compare the [Praxis offering](https://investor.wedbush.com/wedbush/article/gnwcq-2026-1-7-praxis-precision-medicines-inc-announces-pricing-of-575-million-public-offering) priced a week earlier, which sold common shares only. For existing holders, the warrants are a cost whenever the stock trades above $6.93.

For current shareholders the questions are practical, and the [filings](https://www.sec.gov/Archives/edgar/data/1610820/000149315226002430/form8-k.htm) do not answer them. How long does $30 million last at the current spending rate, and what trial data arrive before the next raise? The pricing documents answer neither.

Investors should also note that the [placement agent warrants](https://www.sec.gov/Archives/edgar/data/1610820/000149315226002430/form8-k.htm) at $8.385 sit above the public warrants at $6.93, so they will matter only if the shares rise materially.

## What to watch

The first dated item is the trading of the [BCTXL warrants](https://briacell.com/briacell-therapeutics-announces-pricing-of-30-million-public-offering/), which began Jan. 14. After that, BriaCell's next annual or quarterly report should show the cash balance and runway. Resale registration of the warrant shares, if the company files one, would be another sign of how soon holders expect to exercise.
