## The shelf

Boundless Bio, Inc., a Delaware company based at 10955 Alexandria Way in San Diego, filed a registration statement on Form S-3 on April 1, 2025. The base prospectus covers the sale by the company of up to $400.0 million in aggregate of common stock, preferred stock, debt securities, warrants and units, in one or more offerings over time. The registration statement contains a second, sales agreement prospectus for up to $14.5 million of common stock, and that amount is counted within the $400.0 million total.

A shelf lets the company register securities in advance and sell them when it chooses. The prospectus says the company may offer the securities in amounts, at prices and on terms it determines at the time of each offering. The S-3 gives no current cash balance and no net loss figure. It says the company intends to use net proceeds, together with existing cash, cash equivalents and short-term investments, to fund research and development of its ecDNA-directed therapeutics (ecDTx) and for working capital and general corporate purposes, including its ecDNA diagnostic and Spyglass platform. It may also use a portion to in-license or acquire complementary businesses, technologies, products or assets.

## The Jefferies sales agreement

On April 1, 2025 the company entered into an Open Market Sale Agreement with Jefferies LLC as sales agent or principal. Under the agreement, the company may sell common stock in at-the-market offerings through or to Jefferies, at prevailing market prices or on terms the two agree. Jefferies is not required to sell any specific amount and will use commercially reasonable efforts. The prospectus says no funds will be held in escrow or trust.

Jefferies receives a commission of up to 3.0% of the gross proceeds of any shares sold. The company agreed to indemnify Jefferies against certain liabilities, including under the Securities Act of 1933 and the Securities Exchange Act of 1934. Either side may end the agreement at any time on specified written notice. The company says there is no assurance it will sell any shares under the agreement, or at what price or amount.

Latham & Watkins LLP of San Diego is named as the company's counsel and will pass upon legal matters for the offering on behalf of Boundless Bio. Its validity opinion is filed as Exhibit 5.1 to the 8-K, which the Chief Legal Officer and Corporate Secretary, Jessica Oien, signed. The S-3 names no counsel to Jefferies. The 8-K adds that shares will be issued under the shelf only once the SEC declares it effective.

## What the filings show about the company

The filings do not say how much of the $14.5 million the company expects to sell, or when. No sales have been made, because the sales agreement is new. The $400.0 million figure is a ceiling, not a commitment, and a shelf dilutes existing holders only when shares are actually sold. The S-3 cover page lists 22,300,043 shares of common stock outstanding as of March 27, 2025, of which 17,442,249 were held by non-affiliates. It puts the public float at approximately $43.6 million, and the last reported sale price that day on the Nasdaq Global Select Market was $1.51 per share.

According to the prospectus, the company's lead program, BBI-355, is an oral inhibitor of checkpoint kinase 1 (CHK1). The company says it produced tumor regressions in preclinical models, which are not results in patients. BBI-355 is in a first-in-human Phase 1/2 trial called POTENTIATE. The company says it expects preliminary clinical proof of concept safety and antitumor activity data in the second half of 2025, so no human efficacy data had been reported when the shelf was filed. A second program, aimed at a kinesin target, is still in drug discovery. The company says it expects to select a development candidate by mid-2025 and to submit an investigational new drug application in the first half of 2026.
