## Key facts

- **Company**: Bone Biologics Corporation (NASDAQ: BBLG)

- **News type**: Listings

- **Primary source**: [Bone Biologics Corp Form 8-K filed September 16, 2026 (SEC EDGAR)](https://www.sec.gov/Archives/edgar/data/1419554/000149315226042940/form8-k.htm)

Bone Biologics Corporation (Nasdaq: [BBLG](https://aibio.space/companies/bone-biologics/)) received a Nasdaq minimum bid price deficiency notice on September 10, 2026, according to a [Form 8-K filed September 16, 2026](https://www.sec.gov/Archives/edgar/data/1419554/000149315226042940/form8-k.htm). Nasdaq said the closing bid price had been below $1 per share for the last 30 consecutive business days, so the company no longer meets Nasdaq Listing Rule 5550(a)(2).

## The compliance period and its limits

The letter came from the Listing Qualifications Staff of The Nasdaq Stock Market LLC. Under Nasdaq Listing Rule 5810(c)(3)(A), the company has 180 calendar days, or until March 9, 2027, to regain compliance. It regains compliance by closing at or above $1 per share for at least 10 consecutive business days within that period.

If the company is still out of compliance on March 9, 2027, it may be eligible for a second 180-day period. To qualify, it must meet the market value of publicly held shares requirement and the other initial listing standards for Nasdaq's Capital Market, apart from the bid price requirement, and it must tell Nasdaq it intends to cure the deficiency. If it fails, Nasdaq will provide notice of delisting, and the company can appeal to a Nasdaq hearings panel.

## The reverse split plan

The company intends to monitor the closing bid price and to seek stockholder approval for a reverse stock split at its upcoming annual meeting. If the price stays below $1 and stockholders approve, the board may authorize the split to try to lift the per-share price. The 8-K does not give a ratio or a meeting date.

The company has done this before. It filed a certificate of amendment on June 5, 2025 to effect a 1-for-6 reverse split, which took effect June 10, 2025. The annual report says that split was applied retroactively to all share and per-share amounts.

## Cash, losses and the going concern warning

The annual report, filed March 2, 2026, says recurring operating losses raise substantial doubt about the company's ability to continue as a going concern. The auditor's report for the year ended December 31, 2025 expresses the same doubt. The company says its available cash is expected to fund operations into the fourth quarter of 2026, which falls before the March 9, 2027 compliance date.

Cash was $5,334,322 at December 31, 2025, compared with $3,325,131 a year earlier. In 2025 the company reported a net loss of $3.1 million and used $2,691,150 in operating activities, compared with $4,124,935 used in 2024. Research and development expense was $1.1 million in 2025, down from $2.1 million in 2024.

The auditor's going concern paragraph cites a $3.1 million net loss and $2.7 million of cash used in operating activities for the year ended December 31, 2024. The management discussion and the note on going concern place those figures in 2025. The filing is inconsistent on the year.

## The business and its obligations

Bone Biologics describes itself as a medical device company focused on bone regeneration in spinal fusion. Its NELL-1 platform is licensed exclusively from the UCLA Technology Development Group on behalf of the UC Regents. The company says it and UCLA TDG received FDA guidance that NELL-1 combined with demineralized bone matrix will be classified as a device and drug combination product that needs an FDA-approved pre-market approval application before it can be sold in the United States.

The clinical work so far is a pilot. The NB1 device is being studied in a randomized pilot study in Australia of up to 30 adults with degenerative disc disease at one level from L2 to S1. The primary end point is fusion success at 12 months. The company says the pilot data would support a future, larger U.S. pivotal study before any submission to the FDA. The filing describes no pivotal trial that has started.

The license requires an annual maintenance fee of $10,000 and royalties of 3.0% of net sales. After the first commercial sale, the company must also pay a minimum annual royalty of between $50,000 and $250,000, depending on the calendar year. The annual report names Deina H. Walsh as Chief Financial Officer.
