Bolt Biotherapeutics, Inc. (Nasdaq: [BOLT](https://aibio.space/companies/bolt-biotherapeutics/)) said in a [Form 8-K filed October 2, 2025](https://www.sec.gov/Archives/edgar/data/1641281/000119312525228293/bolt-20251001.htm) that it implemented a restructuring plan on October 1, 2025 that cuts its workforce by about 20 employees, or roughly 50%. The company says the cut is meant to reduce operating expenses and conserve capital, and that it extends its cash runway into 2027. In the same filing, Bolt said it now expects initial clinical data from its lead clinical candidate, BDC-4182, in the third quarter of 2026.

## The cuts and their cost

Bolt estimates aggregate pre-tax charges of $1.5 million to $2.0 million for the reduction in force, consisting primarily of severance payments, employee benefits and related costs. It expects the reduction to be complete by the end of 2025, with the charges recorded in the fourth quarter of 2025.

The company files the cut under Item 2.05, the item for costs tied to exit or disposal activities. The 8-K says the estimates depend on assumptions and that actual results may differ materially. It also says the company may incur costs it does not now anticipate because of events tied to the plan.

## The BDC-4182 delay

The company announced the restructuring alongside an update on the ongoing Phase 1 dose escalation study of BDC-4182, which the release dates October 1, 2025. The candidate is a next-generation Boltbody Immune-Stimulating Antibody Conjugate, or ISAC, that targets claudin 18.2. Bolt calls claudin 18.2 a clinically validated target in oncology. The trial includes patients with gastric and gastroesophageal cancer.

Bolt says a strong immune response was observed at the initial dose levels. It is changing the trial protocol to allow step-up dosing, which it says has been used successfully in commercial T-cell engagers. It adds that preclinical data support that approach. Because of the protocol change, the company now expects to report initial clinical data in the third quarter of 2026. The filing does not say how many patients have been dosed or what the immune response measured.

## Company statements

The press release quotes the company's president and chief executive: "Amid challenging market conditions, our strategic imperative is the clinical advancement of BDC-4182 and the support of our ISAC collaborations to increase shareholder value." The 8-K is signed by William P. Quinn as president, chief executive officer and chief financial officer.

The release's headline pairs the runway extension with the cut, and the release also thanks the colleagues affected by the decision. The 8-K and the release give no cash balance or spending figure against which to test the runway claim.

## About the company

Bolt is based in Redwood City, California, and describes itself as a clinical-stage biopharmaceutical company developing immunotherapies for cancer. It has strategic collaborations with Genmab and Toray built around its Boltbody ISAC platform. It is also seeking a partner for BDC-3042, a Dectin-2 agonist that has completed a first-in-human Phase 1 dose escalation trial. The release names Matthew DeYoung of Argot Partners as its investor relations and media contact.

## What comes next

Bolt expects the workforce reduction to be complete by the end of 2025 and the initial BDC-4182 data in the third quarter of 2026. The release's forward-looking statements cover partnering BDC-3042, the success of the BDC-4182 trials, and the cash runway into 2027. The company says it may incur costs it does not now contemplate, and the filing gives no savings figure.
