At its annual meeting on June 9, 2026, the stockholders of Bluejay Diagnostics, Inc. (NASDAQ: [BJDX](https://aibio.space/companies/bluejay-diagnostics/)) approved an amendment to the company's certificate of incorporation that would effect a reverse stock split of its common stock. The split would take one of several fixed ratios between 1-for-2 and 1-for-20. The board of directors will decide whether to proceed, the exact ratio and the effective time, in its sole discretion and without further stockholder action. The effective time may not be later than June 9, 2027.

## The votes

The record date for the meeting was April 28, 2026, when 1,034,715 shares of common stock were outstanding and entitled to vote. Of those, 414,092 shares were present in person or by proxy, which constituted a quorum.

Stockholders re-elected Donald Chase, Neil Dey, Svetlana Dey, Douglas Wurth and Fred Zeidman as directors until the 2027 annual meeting. The reverse split amendment received 262,891 votes for, 150,322 against and 879 abstentions. The stockholders also approved an amendment to the stock plan that increases the shares issuable under it by 600,000, from 61 shares to 600,061 shares. That vote was 135,750 for, 94,058 against and 1,160 abstentions. Stockholders also ratified Wolf & Company, P.C. as the independent registered public accounting firm for the fiscal year ending December 31, 2026, with 389,052 votes for. Stockholders are entitled to one vote for each share of common stock held, and the filing presents the final voting results for each proposal.

## The company and the filing

The 8-K cover page describes Bluejay as a Delaware corporation with principal offices at 360 Massachusetts Avenue, Suite 203, in Acton, Massachusetts. Its common stock, par value $0.0001 per share, is listed on The Nasdaq Capital Market under the symbol BJDX.

The filing includes the results of the annual meeting under Item 5.07 and an amendment to the company's 2021 Stock Plan under Item 5.02, which is attached as Exhibit 10.1. The plan amendment is the source of the 600,000 share increase described above.

## Why the company sought approval

The board sought the reverse split authority to give the company flexibility if its common stock significantly declines in value and no longer meets Nasdaq's minimum $1.00 bid price requirement. The filing states that on June 9, 2026, the closing price of the common stock was $4.50 and that the company was in compliance with all Nasdaq listing requirements on that date.

The board has no present intention to implement the reverse split during the 12-month period for which approval has been obtained.

## Financial position

The filing does not include financial results. Bluejay's XBRL financial data, drawn from its annual report filed March 6, 2026, shows a net income (loss) of negative $6.8 million for the fiscal year ended December 31, 2025, compared with negative $7.7 million for 2024. Research and development expense was $3.0 million for 2025 and $3.5 million for 2024.

## What the votes and the plan show

The reverse split passed with 262,891 votes for and 150,322 against, so a sizable block opposed it. The stock plan amendment drew 135,750 for and 94,058 against. The plan reserve grows from 61 shares to 600,061 shares while only 1,034,715 shares were outstanding on the record date, so the new pool is large against the existing share count, and the filing says nothing about who will receive the awards. The company says it is in compliance today and the stock closed at $4.50, but it asked for split authority because it sees a risk of falling below the $1.00 minimum bid. It also lost $6.8 million in 2025 and used $6.1 million of cash in operations. Any reverse split would require a further decision by the board, which must select the ratio and the effective time. The filing does not say when, or whether, the board will act, and it states that the board has no present intention to implement the split during the 12-month approval period.
