BioCardia, Inc. said on June 12, 2026 that it believes it has regained compliance with Nasdaq's minimum stockholders' equity requirement. The company credits sales of common stock under its at-the-market offering. The sales it counts were made between April 1, 2026 and June 5, 2026. In the same [Form 8-K](https://www.sec.gov/Archives/edgar/data/925741/000143774926020384/bcda20260612_8k.htm), BioCardia reported that Nasdaq had granted an extension to October 7, 2026 to regain compliance with the rule.

## The Nasdaq deficiency notice

The filing updates an earlier Nasdaq deficiency notice. As previously disclosed on a Form 8-K filed April 15, 2026, BioCardia received a notification letter on April 10, 2026 from the Nasdaq Listing Qualifications Staff of The Nasdaq Stock Market LLC. The letter said the company's amount of stockholders' equity had fallen below the $2,500,000 required minimum for continued listing under Nasdaq Listing Rule 5550(b)(1). Stockholders' equity is the value of a company's assets left after its liabilities are subtracted, and Nasdaq sets a floor for it as a condition of staying listed.

BioCardia had until May 25, 2026 to give Nasdaq a specific plan to achieve and sustain compliance. The company submitted its plan on May 25, 2026. On June 9, 2026, it received written notice that, after reviewing the plan, the Nasdaq staff granted an extension to October 7, 2026 to regain compliance with the rule.

## At-the-market sales

An at-the-market offering lets a company sell shares into the market over time at market prices. BioCardia has an "At The Market" offering agreement with H.C. Wainwright & Co., which the filing calls the Sales Agreement.

The April 10, 2026 notice said equity had fallen below the $2,500,000 minimum, and the company's compliance claim is measured against that same figure. The filing recounts two sets of figures. On June 8, 2026, the company filed an 8-K and issued a press release saying it sold 3,509,604 shares at an average price of $1.279 on Friday, June 5, 2026. Under the Sales Agreement, from April 1, 2026 to June 5, 2026, BioCardia sold an aggregate of 4,004,330 shares of common stock at an average share price of $1.27. The filing says that resulted in net proceeds of $4.9 million after deducting fees and expenses.

## What the company says now

As a result of these transactions, BioCardia says it believes it has regained compliance with the minimum $2.5 million stockholders' equity requirement in Listing Rule 5550(b)(1). It also says it believes that, as of the date of the report, its stockholders' equity exceeds $2.5 million. The filing does not give a stockholders' equity figure, so the claim rests on the company's own statement.

The filing states that Nasdaq will continue to monitor BioCardia's ongoing compliance with the stockholders' equity requirement. If the company does not evidence compliance at the time of its next periodic report, it may be subject to delisting.

## About the company

BioCardia's 10-K, filed March 24, 2026, describes a clinical-stage company developing cellular and cell-derived therapeutics for cardiovascular and pulmonary diseases. Its CardiAMP autologous cell therapy platform is being advanced clinically for ischemic heart failure with reduced ejection fraction and for refractory angina resulting from chronic myocardial ischemia. An allogeneic mesenchymal stem cell platform is aimed at ischemic inflammatory heart failure. The company says an acute respiratory distress syndrome program has an approved IND but has not yet advanced in the clinic.

The same 10-K reports a net loss of $8.2 million for 2025, against $7.9 million for 2024, and cash used in operations of $7.4 million for 2025, against $7.9 million. Cash and cash equivalents were $2.4 million at the end of 2024. The company lists its ability to raise funding, to continue as a going concern and to keep its Nasdaq Capital Market listing among its stated expectations. The compliance claim rests on stock sold at an average share price of $1.27, which adds shares to the count. Chief Financial Officer David McClung signed the Form 8-K, and BioCardia lists its offices at 320 Soquel Way, Sunnyvale, California.
