BioAtla, Inc. (Nasdaq: [BCAB](https://aibio.space/companies/bioatla/)) said on September 22, 2025 that the Nasdaq Hearing Panel had granted its request for continued listing. The company received the panel's written notice on September 16, 2025, and reported it in a Form 8-K signed by Chief Financial Officer Richard A. Waldron. The company is based in San Diego, California.

## How the company got here

On August 6, 2025, Nasdaq's Listing Qualifications Staff issued a delist determination. The staff found that BioAtla did not satisfy the Minimum Bid Price Requirement under Nasdaq Listing Rule 5450(a)(1), or the Minimum Stockholders' Equity Requirement under Rule 5450(b)(1)(A). The company disclosed the determination in its quarterly report filed on August 7, 2025.

BioAtla requested a hearing to appeal the staff's decision, and it presented a compliance plan to the panel on September 9, 2025. The 8-K says the plan covered expected near-term corporate events, including clinical developments, planned data readouts and potential transactions, such as the status of strategic partnerships. The 8-K does not describe those events or their timing.

## The conditions

The panel's notice set three conditions. BioAtla had to file an application to transfer to The Nasdaq Capital Market on or before September 26, 2025. It must demonstrate compliance with the stockholders' equity requirement on or before December 31, 2025, and with the minimum bid price requirement on or before February 2, 2026.

The company submitted its transfer application on September 18, 2025. It says it believes it will be able to meet the equity and bid price deadlines, though, in its words, "no such assurance can be given." The 8-K does not state BioAtla's stockholders' equity, its share price or the shortfall against either requirement.

The 8-K's forward-looking statements list factors that raise substantial doubt about the company's ability to continue as a going concern, along with the need for additional funding to continue development of its CAB technology platform and product candidates. It also names possible delays in clinical and preclinical trials, the chance of unfavorable new clinical data, and the company's reliance on third parties for manufacturing and trial conduct.

## What the pipeline shows

The company's annual report describes BioAtla as a clinical-stage biopharmaceutical company developing antibody-based therapies for solid tumors. Its first bispecific candidate, BA3182, is in a Phase 1 study in advanced adenocarcinoma. The annual report says that in IND-enabling studies BA3182 showed more than 100-fold improvement in its therapeutic window compared with a non-CAB anti-EpCAM bispecific antibody. That is a preclinical comparison, not clinical evidence.

Mecbotamab vedotin, also called BA3011, has clinical data from Phase 1 and Phase 2 part 1 trials, which the report calls supportive of development in metastatic sarcomas and in KRAS-mutated non-small cell lung cancer. The report says the FDA cleared a potentially registration-enabling Phase 2/3 trial in second-line and later NSCLC. Ozuriftamab vedotin, or BA3021, showed antitumor activity in some Phase 1 patients who had failed PD-1 therapy, and it is in a Phase 2 trial in squamous cell carcinoma of the head and neck with fast-track designation.

The report says that as of February 1, 2025, the company held 752 patents and patent applications, including 479 issued patents. Patents show protection, not commercial demand, and they do not answer the going concern question.

## What the notice does not say

The 8-K does not give BioAtla's cash balance or its net loss. It does not say how the company expects to meet the December 31, 2025 equity test, or what would happen if it missed either date. It states only that the company believes it can meet both deadlines.

The panel has given BioAtla until early 2026 to meet its requirements, but the 8-K ties the company's plan to clinical readouts and transactions that it does not describe.
