## The notice

BeyondSpring Inc. (Nasdaq: [BYSI](https://aibio.space/companies/beyondspring/)) reported in a Form 8-K dated October 2, 2026 that the Listing Qualifications Department of The Nasdaq Stock Market LLC wrote to it on September 29, 2026. The letter says the company's market value of listed securities, meaning the total market value of its listed shares, has fallen below $35 million for the last 30 consecutive business days. Under Nasdaq Listing Rule 5550(b)(2), a company on the Nasdaq Capital Market must meet that minimum, and BeyondSpring no longer does.

The filing is made under Item 3.01 of Form 8-K. It says the letter has no immediate effect on the listing or trading of the company's ordinary shares, which will continue to trade on Nasdaq during the compliance period. The notice gives no figure for the company's market value on the date of the letter, and it does not list the daily values Nasdaq used to reach the 30-day count.

## The compliance clock

Under Nasdaq Listing Rule 5810(c)(3)(C), the company has 180 calendar days from the letter, or until March 29, 2027, to regain compliance. To do so, its market value must close at $35 million or more for a minimum of ten consecutive business days before that date. Nasdaq staff can extend that period under Rule 5810(c)(3)(H) at their discretion. The filing does not say whether the company has asked for an extension.

If the company does not regain compliance by March 29, 2027, Nasdaq will send written notice that its securities are subject to delisting, and the company may then appeal that determination. The company says it is considering all available options to regain compliance within the period. It does not name any of those options, and it says there can be no assurance that it will regain compliance or stay within Nasdaq's other listing criteria.

## The business and the money

The company's annual report on Form 10-K, filed March 25, 2026, says it does not generate revenue from product sales and that none of its product candidates has been approved for marketing in China, the United States, the European Union or elsewhere. Its business depends substantially on plinabulin, which the report says is being developed for multiple indications. The same report says that a Complete Response Letter the company received from the FDA, together with general market conditions, has caused and may continue to cause difficulty in raising money from the capital markets.

According to the annual report, cash used in operations was $19.8 million in 2025, against $16.4 million in 2024. Research and development expense was $4.4 million in 2025, against $2.6 million in 2024. The company reported a net loss of $1.0 million for 2025 and $11.1 million for 2024. The company's figures at June 30, 2026, taken from its quarterly report on Form 10-Q, show cash and cash equivalents of $2.7 million and short-term investments of $3.8 million. Those balances are small next to the $19.8 million the company used in operations during 2025. The annual report also says the company expects substantial and increasing losses through commercialization of its product candidates.

The notice does not link the market value decline to these financial figures, and it does not give the company's cash position at the date of the letter.

## What the notice leaves open

The notice does not explain why the market value fell. It names no step the company has taken or plans, beyond saying it is considering options. The compliance clock runs to March 29, 2027, and the company's own annual report describes difficulty in raising capital since the FDA letter, so the listing question and the financing question sit side by side. The filing does not connect them, and it does not say whether the company will ask Nasdaq for the extension the rule allows.
