Beta Bionics, Inc. disclosed in a [Form 8-K filed September 15, 2026](https://www.sec.gov/Archives/edgar/data/1674632/000119312526392088/d153052d8k.htm) that a purported stockholder filed a securities class action against the company and certain of its executive officers on September 4, 2026. The case is captioned Holtzman vs. Beta Bionics, Inc. et al., Case No. 2:26-cv-09999, in the United States District Court for the Central District of California. The filing names the company and "certain of our executive officers" as defendants. It does not identify which officers are named.

## What the complaint alleges

According to the company's description, the complaint alleges that the defendants violated Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 and SEC Rule 10b-5. The complaint alleges they made material misstatements or omissions about the safety, efficacy and commercial success of iLet, the company's automated insulin dosing system.

The plaintiff seeks, on behalf of the putative class, unspecified damages, pre- and post-judgment interest, attorneys' fees, expert fees and costs, and class certification, along with other relief the court may deem just and proper.

## The company's response

Beta Bionics says it intends to vigorously defend against the claims. It also says any potential loss from the claim is not currently probable or estimable.

The company added a risk factor to its disclosures titled "We could be subject to securities class action litigation." It says such suits have often followed a decline in a company's share price and that medical device companies have seen stock price volatility in recent years. It warns that if it does not succeed in its defense, it may have to make significant payments to, or settlements with, stockholders and their attorneys. It also says the suit has already added costs and could divert management's attention. The company adds that rising directors' and officers' liability insurance costs could lead it to choose lower policy limits or forgo coverage.

## Product news in the same filing

Under Item 7.01, Regulation FD Disclosure, the 8-K also furnished a [press release](https://www.sec.gov/Archives/edgar/data/1674632/000119312526392088/d153052dex991.htm) dated September 14, 2026. In it, Beta Bionics announced U.S. Food and Drug Administration clearance of Mint, its patch pump, and said it had submitted a 510(k) application for 3D Intelligence, its anticipated next-generation insulin dosing algorithm.

The company expects to begin the full commercial launch of Mint in the United States in the first quarter of 2027. It expects manufacturing capacity of at least 1.5 million total disposable units in the full year 2027. It expects commercialization of iLet 3D in the United States by the end of 2026, subject to FDA clearance.

The press release also updated revenue guidance. For the full year 2026, Beta Bionics now estimates total revenue of approximately $121 million to $126 million, down from $131 million to $136 million. It cites a potential revenue deferral of up to $10 million in the fourth quarter of 2026, because new prospective iLet users could choose to wait for the Mint launch.

## People and company background

Sean Saint, President & CEO of Beta Bionics, is quoted in the press release about the next-generation platform. The company's [annual report filed February 24, 2026](https://www.sec.gov/Archives/edgar/data/1674632/000119312526067065/bbnx-20251231.htm) is signed by Mr. Saint as President, Chief Executive Officer and Director, by Stephen Feider as Chief Financial Officer, and by Adam Lezack as Chairperson of the Board of Directors. The 8-K does not identify any of them as a defendant in the suit. The company describes itself as a commercial-stage medical device company. Its shares trade on Nasdaq under the symbol BBNX.

The filing says iLet is the company's one commercialized device, cleared for the treatment of type 1 diabetes in adults and children six years of age and older.
