Beta Bionics told the SEC that its initial public offering and a concurrent private placement brought in gross proceeds of $229.1 million before underwriting discounts and expenses. The company's own release puts its share of the IPO at about $212.1 million, well below the $234.6 million headline figure.

Beta Bionics, Inc. (Nasdaq: [BBNX](https://aibio.space/companies/beta-bionics/)) closed its initial public offering on January 31, 2025, together with a private placement sold to an existing stockholder. The company said in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1674632/000119312525018471/d933339d8k.htm) filed the same day that aggregate gross proceeds to it were $229.1 million, before underwriting discounts, commissions and offering expenses. Both the public offering and the private placement were priced at $17.00 per share.

## The public offering

The IPO covered 13,800,000 shares of common stock. That total includes 1,800,000 additional shares sold when the underwriters exercised their option in full. Of those, 475,000 came from the company and 1,325,000 came from selling stockholders. Beta Bionics received none of the proceeds from the selling stockholders' shares.

The company's [press release](https://www.sec.gov/Archives/edgar/data/1674632/000119312525018471/d933339dex991.htm), filed as Exhibit 99.1, puts gross proceeds to the company from the offering at approximately $212.1 million. Its headline refers to a $234.6 million initial public offering. That figure is the value of all 13,800,000 shares, including the ones existing holders sold, so it overstates the money that went to the company. The shares began trading on the Nasdaq Global Market on January 30, 2025, and the registration statements became effective on January 29.

BofA Securities, Piper Sandler and Leerink Partners were lead bookrunners. Stifel was a bookrunner, and Lake Street Capital Markets was co-manager. The release names no counsel for the company or the underwriters.

## The private placement

On January 21, 2025, Beta Bionics signed a Common Stock Purchase Agreement with Wellington Hadley Harbor Aggregator IV, L.P., an existing stockholder. The agreement covered 1,000,000 shares at $17.00 each, the same price as the IPO. The sale closed with the offering on January 31.

The 8-K says the shares were not registered under the Securities Act of 1933 and were sold under Section 4(a)(2), the exemption for private sales. The purchaser represented that it is an "institutional accredited investor" buying for investment only. The shares were offered without any general solicitation.

The same five firms acted as placement agents: BofA Securities, Inc., Piper Sandler & Co., Leerink Partners LLC, Stifel, Nicolaus & Company, Incorporated and Lake Street Capital Markets, LLC. The company paid them a placement agent fee of 7.0% of the total purchase price of the private placement shares.

## What the company keeps

The 8-K says the $229.1 million combines the IPO proceeds, including the 475,000 option shares the company sold, with the private placement proceeds. The release says the figure is before underwriting discounts and commissions, placement agent fees, and other offering and private placement expenses. Neither document gives the underwriting discount or the total of those deductions. The cash the company actually receives will therefore be lower than the gross figure, by an amount the filings do not state.

## Charter and bylaws

On January 31, 2025, Beta Bionics filed an amended and restated certificate of incorporation with the Delaware Secretary of State, in connection with the IPO closing. It also adopted amended and restated bylaws effective the same day. The board and stockholders had approved both before the closing. The restated certificate and bylaws are filed as Exhibits 3.1 and 3.2.

## The business and what is missing

Beta Bionics calls itself a commercial-stage medical device company, based in Irvine, California. It develops and commercializes products for people with insulin-requiring diabetes that use adaptive closed-loop algorithms. Its product, the iLet Bionic Pancreas, is described in the release as the first FDA-cleared insulin delivery device that autonomously determines every insulin dose. The release also says the device "offers the potential to substantially improve" outcomes. That is the company's own claim, and neither the 8-K nor the release provides clinical data to test it.

The 8-K and the release give no revenue, loss or cash balance. The story therefore cannot say how much cash the company held before the deal, how much it burns, or how long the proceeds will last. Readers who want those numbers will need the company's annual and quarterly reports.

## Who signed

Sean Saint, President and Chief Executive Officer, signed the 8-K. The release lists Blake Beber, Head of Investor Relations, and Karen Hynes, Vice President of Marketing, as contacts.
