Azitra, Inc. (NYSE American: [AZTR](https://aibio.space/companies/azitra/)) said on June 17, 2026 that Chief Executive Officer Francisco Salva had issued a letter to shareholders describing the company's strategic reorientation and its outlook for 2026 and beyond. The letter is attached to a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1701478/000149315226028994/ex99-1.htm) filed with the Securities and Exchange Commission. It says the company plans to pause further enrollment in its Netherton syndrome trial and direct the money toward a cosmetic ingredient program and a set of recombinant protein initiatives.

## The March financing

Salva wrote that "the successful financing completed in March" was the catalyst for the new strategy. The company raised $10.5 million in March and can receive up to an additional $21 million through the exercise of warrants. He said the same engineering tools that drive the therapeutic pipeline may also apply to large commercial markets with shorter development timelines.

## The new programs

ATR-COSF is a recombinant filaggrin protein for cosmetic ingredients that target fine lines and wrinkles. The letter says it grew out of the ATR-01 research program, which was first developing a live biotherapeutic microbe for ichthyosis vulgaris. The company says up to 10% of the general population and more than 50% of eczema sufferers are deficient in filaggrin, and it sees the technology as potentially differentiated within the multi-billion dollar skincare market.

Azitra plans product optimization and ex vivo human skin studies, followed by a clinical study of the product's effect on the appearance of fine lines and wrinkles. It expects to complete that study in late 2026 and says the program could reach partnership or commercialization as soon as 2027.

The second initiative covers recombinant proteins made with microbial genetic engineering technology in-licensed from The Fred Hutchinson Cancer Center. The letter says minicircle plasmids from that source have shown increases of 100,000x compared with standard plasmid technologies. The first targets are two mRNA-related assembly proteins, the Tobacco Etch Virus (TEV) Protease and the T7 RNA Polymerase. The letter puts the current market for these polymerases and proteases at approximately $1 billion. It expects the programs to be in a position to be partnered or commercialized within the next 36 months.

## The clinical programs

The letter says ATR-04, the candidate for EGFR inhibitor-associated rash, continued to enroll patients in the first half of the year, with MD Anderson Cancer Center added as a site.

For ATR-12, the Netherton syndrome program, the company plans to pause further enrollment. The letter cites the difficulty of enrolling patients and the encouraging safety seen in the first six enrolled patients. Azitra wants to conserve capital and direct funds to ATR-COSF, which it says has nearer term value creating milestones in 2026. It says it has already developed improved topical formulations and next generation candidates for Netherton syndrome, and it will look to restart that work at the right time.

## Financial position

The annual report filed February 27, 2026 shows no revenue for 2025, compared with $7,500 in 2024. Research and development expense was $4.8 million in 2025 and $4.7 million in 2024. The net loss was $11.0 million in 2025 and $9.0 million in 2024. Cash used in operations was $11.2 million in 2025 and $10.2 million in 2024. Cash and cash equivalents at the end of 2024 were $4.6 million.

## What comes next

The letter is the company's own account of a retreat. Azitra plans to pause enrollment in ATR-12, its lead program, and the letter cites the difficulty of enrolling patients. It offers only encouraging safety in the first six patients and no efficacy data. Money moves toward a cosmetic ingredient and research proteins, while the company reported no revenue for 2025. The market sizes, the 100,000x plasmid figure and the timing of partnership or commercialization, as soon as 2027 and within 36 months, are the company's claims. The additional $21 million depends on warrant holders choosing to exercise, and warrants add shares. The $10.5 million raised in March compares with cash used in operations of $11.2 million and a net loss of $11.0 million in 2025.
