Azitra, Inc. filed a certificate of amendment with the Delaware Secretary of State on October 22, 2026, to carry out a 1-for-10 reverse stock split of its common stock. The company reported the split in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1701478/000149315226048103/form8-k.htm) dated October 22, 2026, under Items 3.03, 5.03 and 9.01. The split takes effect at 12:01 a.m. Eastern Time on October 26, 2026.

## The split terms

At the effective time, every 10 shares of issued and outstanding common stock will be combined into one share. The company expects the common stock to begin trading on NYSE American on a split-adjusted basis at market open on October 26, 2026. The filing says the par value of $0.0001 and the other terms of the common stock are not affected. The post-split common stock will carry CUSIP number 05479L401.

No fractional shares will be issued. Stockholders of record who would otherwise receive a fractional share will receive a cash payment equal to the average closing price of the common stock for the five trading days immediately preceding October 26, 2026, multiplied by the number of pre-split shares that would have been reclassified into that fraction.

## The stockholder approval

At the company's annual meeting of stockholders held on June 15, 2026, stockholders approved an amendment to the certificate of incorporation to effect reverse stock splits at a ratio of not less than 1 for 2 and not more than 1 for 30. The board of directors determines the exact ratio for each split within that range, in its sole discretion. The filing says the ratio used here is 1-for-10.

The certificate of amendment is filed as Exhibit 3.1 to the 8-K, and the report incorporates it by reference. Francisco D. Salva, the chief executive officer, signed the report on October 22, 2026. The cover page of the 8-K checks the box indicating that Azitra is an emerging growth company, and it lists the common stock as trading on NYSE American under the symbol AZTR.

## The company

Azitra was formed as a Delaware corporation on January 2, 2014. It describes itself as a clinical-stage biopharmaceutical company focused on innovative therapies for precision dermatology, using engineered proteins and topical live biotherapeutic products. Its lead programs include ATR-04, for rash associated with EGFR inhibitor cancer therapy, and ATR-12, a genetically modified strain of Staphylococcus epidermidis for Netherton syndrome.

The [annual report on Form 10-K](https://www.sec.gov/Archives/edgar/data/1701478/000170147826000013/aztr-20251231.htm), filed February 27, 2026, says the company has built a proprietary platform with a microbial library of approximately 1,500 unique bacterial strains. It also says Azitra has not commenced commercial operations.

## Financial position

For 2025 the company reported no revenue, compared with $7,500 in 2024. The net loss was $11.0 million in 2025, against $9.0 million in 2024. Research and development expense was $4.8 million in 2025 and $4.7 million in 2024. Cash from operations was negative $11.2 million in 2025.

Year-end cash and cash equivalents were $2.1 million at the end of 2025, according to a quarterly report filed August 12, 2026. The company reported cash and cash equivalents of $6.7 million at June 30, 2026, in that same report.

## What comes next

A reverse split cuts the number of shares and lifts the quoted price, but it does not change what the company owns or earns. The filing does not state the reason for it. Azitra had no revenue in 2025, a net loss of $11.0 million and cash used in operations of $11.2 million, and it says it has not commenced commercial operations. Cash and cash equivalents were $6.7 million at June 30, 2026, a smaller figure than the 2025 operating burn. The stockholder approval allows reverse splits at ratios from 1 for 2 to 1 for 30, and the filing does not say whether another is planned. The effective time is 12:01 a.m. Eastern Time on October 26, 2026, when trading on a split-adjusted basis is expected to begin.
