Autolus Therapeutics plc announced on August 3, 2026 that it had entered into a strategic financing with Perceptive Advisors. The company's second quarter 2026 results release, furnished as Exhibit 99.1 to a Form 8-K and dated August 11, 2026, says Autolus issued $75 million principal amount of notes to Perceptive on July 30, 2026. The release describes Perceptive as a leading global healthcare specialist investor, and the lender. It names no placement agent, underwriter or advisor for the facility.

## Terms of the facility

The facility is a five-year, interest-only senior credit facility for up to $250 million in aggregate principal amount. Another $25 million in principal is available at Autolus' option for up to six months after closing. A further $150 million may become available in separate tranches if pre-specified revenue milestones are reached. The release does not give the interest rate, the fees or the collateral.

## The cash outlook depends on the draws

The release says that, based on current operating plans and the proceeds of the first and second tranches totaling $100 million, the company expects its cash, cash equivalents and marketable securities to fund operations into the second quarter of 2028. The plans also include anticipated AUCATZYL net revenues. That means the runway projection counts on money the company has not yet drawn. The company had $201.6 million in cash, cash equivalents and marketable securities at June 30, 2026, down from $229.4 million at March 31, 2026. The release attributes the decrease to operating cash use.

## Revenue and margins

Product revenue for AUCATZYL, the company's approved cell therapy, was $45.7 million in the second quarter of 2026, against $20.9 million a year earlier. Gross margin was 55% in the second quarter, up from 6% in the first quarter of 2026, and the release says margins were negative in every quarter of 2025. Chief Executive Officer Christian Itin said the company expects margins to improve over time toward a peak estimate of 65% to 70% for adult acute lymphoblastic leukemia.

The company raised its full-year 2026 guidance for AUCATZYL net product revenue to $140 million to $150 million, from $120 million to $135 million.

## Spending and losses

Research and development expense was $27.9 million, against $27.4 million. Selling, general and administrative expense rose to $41.2 million, from $30.3 million. The release says the increase includes termination-related expenses tied to a cost reduction announced in April 2026. Loss from operations was $43.8 million, against $61.2 million a year earlier. The net loss was $39.1 million, or $0.15 per share, compared with $47.9 million, or $0.18 per share.

The company says a workforce reduction is substantially complete and should cut operating expenses by about $15 million a year from 2027.

## The annual report

The company's 10-K, filed March 27, 2026, calls Autolus an early commercial-stage biopharmaceutical company developing programmed T cell therapies for cancer and autoimmune diseases. The FDA approved AUCATZYL for adults with relapsed or refractory B-cell precursor acute lymphoblastic leukemia in November 2024, and the U.S. launch followed in January 2025.

For 2025, the 10-K reports a net loss of $287.5 million, up from $220.7 million for 2024. Research and development expense was $117.7 million in 2025, down from $138.4 million in 2024. Cash used in operations was $283.6 million in 2025, up from $206.3 million in 2024. The release's balance sheet shows cash and cash equivalents of $104,132 thousand and available-for-sale debt securities of $196,578 thousand at December 31, 2025.

## Clinical timing

Initial data from the Phase 1 ALARIC trial in light-chain amyloidosis are expected by year-end 2026. Data from the Phase 1 CARLYSLE trial in severe refractory lupus are expected at the American College of Rheumatology meeting in the fourth quarter of 2026. Initial Phase 1 data from BOBCAT in progressive multiple sclerosis are expected in the first quarter of 2027, and the Phase 2 portion of the pediatric CATULUS trial by year-end 2027. Phase 2 data from the LUMINA lupus nephritis study are expected in 2028.

Most of these are early Phase 1 readouts.
