aTyr Pharma, Inc. (Nasdaq: [ATYR](https://aibio.space/companies/atyr-pharma/)) has asked a federal court to dismiss the amended securities class action against it and two executives. According to the company's [10-Q for the quarter ended June 30, 2026](https://www.sec.gov/Archives/edgar/data/1339970/000133997026000053/atyr-20260630.htm), filed August 7, it moved on July 17, 2026 to dismiss the Amended Consolidated Complaint in the U.S. District Court for the Southern District of California. Any opposition is due August 28, 2026 and any reply September 28, 2026. The 10-Q gives no hearing or decision date.

The defendants are aTyr Pharma, Inc.; its chief executive officer, Sanjay Shukla; and, since the amended complaint of May 1, 2026, its chief financial officer, Jill M. Broadfoot. The two original complaints, filed October 9 and October 22, 2025, named only aTyr and Shukla. The 10-Q names no other defendant.

## The claims

The complaints assert that aTyr and Shukla violated Section 10(b) of the Exchange Act and SEC Rule 10b-5 by making materially false or misleading statements related to efzofitimod, and that Shukla is also liable under Section 20(a). These are allegations that no court has ruled on. The plaintiffs seek class certification, unspecified damages, and costs and fees. On February 9, 2026 the court consolidated the two cases and appointed co-lead plaintiffs. The amended complaint rests on the same allegations and relief and adds Broadfoot. aTyr says it has meritorious defenses and intends to defend vigorously. It has recorded no liability for the case.

## The drug behind the suit

aTyr announced in September 2025 that it did not meet the primary endpoint in the EFZO-FIT study of efzofitimod in pulmonary sarcoidosis. After a Type C meeting with the FDA in mid-April 2026 and receipt of the minutes in May, the company plans a new Phase 3 study in patients with chronic, symptomatic pulmonary sarcoidosis with restrictive lung disease. It says that study will need a significant amount of additional time and resources.

In an 8-K dated September 24, 2026, aTyr said it had reached alignment with the FDA on the protocol. The 54-week study would randomize up to approximately 372 patients equally to 5.0 mg/kg efzofitimod or placebo every three weeks for 17 doses. The primary endpoint is change from baseline in forced vital capacity at week 48. The company says a subgroup analysis of EFZO-FIT showed a clinically meaningful benefit in patients with restrictive lung disease. That is a subgroup analysis of a trial that missed its primary endpoint, and the company itself says further development requires additional capital.

## Layoffs, cash and funding

On August 7, 2026, the day the 10-Q was filed, aTyr's board approved a restructuring plan to conserve capital before the planned Phase 3 study. The company committed to cut its workforce by approximately 60% to 20 full-time employees and estimates charges of approximately $4.2 million for severance, health benefits and other termination costs. Severance is due between August 2026 and September 2027.

The company reports a consolidated net loss of $21.1 million for the six months ended June 30, 2026, and operations used $21,868 thousand in cash. It had cash, cash equivalents, restricted cash and available-for-sale investments of $58.9 million and an accumulated deficit of $627.3 million. Management believes that is enough for its known cash obligations for at least one year from the date of the report. Finishing the Phase 3 study, it says, depends on raising more money through equity or debt offerings, grants, collaborations, partnerships or licensing.

aTyr has leaned on an at-the-market program with Jefferies LLC as sales agent, covering up to $215.0 million of stock at a commission of up to 3.0%. In 2025 it sold 13,887,177 shares at a weighted-average price of $4.94 for net proceeds of approximately $66.4 million. It did not use the program in the first half of 2026. The company warns that a stock price that has fallen materially since the EFZO-FIT data could hurt its ability to raise money through that program. There were 98,087,425 shares outstanding on August 6, 2026.
