aTyr Pharma, Inc. (Nasdaq: [ATYR](https://aibio.space/companies/atyr-pharma/)) said on June 8, 2026 that Nasdaq has given it an additional 180-day period, until November 30, 2026, to regain compliance with the minimum bid price requirement. The company received the letter from Nasdaq's listing staff on June 3, 2026, and reported it in a [Form 8-K filed June 8, 2026](https://www.sec.gov/Archives/edgar/data/1339970/000133997026000039/atyr-20260603.htm) under Item 3.01. The company says the letter has no immediate effect on its listing on The Nasdaq Capital Market.

## The first deficiency and its deadline

Nasdaq sent the first notice on December 4, 2025. It said the bid price had closed below $1.00 for the last 30 consecutive business days, the minimum under Listing Rule 5550(a)(2). Under Rule 5810(c)(3)(A), the company had 180 calendar days, until June 2, 2026, to bring the bid price back to at least $1.00 for 10 consecutive business days. The second period follows the initial June 2, 2026 deadline.

## The second period and its conditions

The June 3 letter says aTyr is eligible for the extra period because it meets the market value of publicly held shares requirement and the other initial listing standards for the Capital Market, apart from the bid price. The staff also relied on aTyr's written notice that it intends to cure the deficiency by a reverse stock split, "if necessary." The 8-K does not say whether the company plans one.

Compliance requires a closing bid price of at least $1.00 for 10 consecutive business days at some point before November 30, 2026. The staff may extend that test to 20 business days. If the company misses the date, the staff will notify it that the stock is subject to delisting. The company could then appeal to a hearings panel, but the filing says "there can be no assurance" that such an appeal would succeed. The filing says the company will monitor the bid price and evaluate its options.

## The lead drug's failed Phase 3

The company's annual report, filed March 5, 2026, gives the background. The lead drug is efzofitimod, tested in pulmonary sarcoidosis. In September 2025 aTyr reported top-line data from the EFZO-FIT trial, a 52-week Phase 3 study in 268 patients. The study did not meet its primary endpoint, the change from baseline in mean daily oral corticosteroid dose at week 48.

For the 5.0 mg/kg dose, the mean daily dose fell to 2.79 mg, against 3.52 mg for placebo, with a p-value of 0.3313. The company's statistical plan uses a hierarchical testing order, so after the primary miss all later tests are reported as nominal findings. Improvements in fatigue and general health scores were reported as pre-specified secondary outcomes, with nominal p-values of 0.0226 and 0.0197.

The annual report says there is no established FDA pathway for approving a drug in pulmonary sarcoidosis. The company had scheduled a Type C meeting with the FDA for mid-April 2026 to decide the path forward, and the 8-K does not report the outcome of that meeting.

## The money

The annual report shows a net loss of $74.1 million for 2025, against $64.0 million for 2024. Cash used in operations was $62.0 million in 2025, down from $69.1 million in 2024. Research and development expense rose to $60.2 million from $54.4 million. Revenue was $190,000 in 2025, down from $235,000.

The 8-K gives no cash balance.

Chief Financial Officer Jill M. Broadfoot signed the 8-K on June 8, 2026. The annual report defines aTyr Pharma to include its subsidiary, Pangu BioPharma Limited.
