Atrium Therapeutics, Inc. (Nasdaq: [RNA](https://aibio.space/companies/atrium-therapeutics/)) became an independent public company on February 26, 2026. Avidity Biosciences, Inc. completed the separation of its early stage precision cardiology programs and distributed all of Atrium's shares to Avidity stockholders. Atrium began trading on The Nasdaq Global Select Market under the symbol RNA on February 27, 2026. The company reported the transactions in a [Form 8-K filed February 27, 2026](https://www.sec.gov/Archives/edgar/data/2093101/000119312526083227/d87849d8k.htm) under Items 1.01, 5.01, 5.02 and 9.01. Kathleen Gallagher, its Chief Executive Officer, signed the report.

## The separation and distribution

Avidity separated all of its assets and liabilities exclusively related to the early stage precision cardiology programs, including ATR 1086 and ATR 1072, together with certain collaboration agreements. Those are the agreements with Bristol-Myers Squibb Company and Eli Lilly and Company. They moved into Atrium.

Avidity then distributed all of Atrium's common stock, par value $0.001 a share, to holders of Avidity common stock, at one Atrium share for every ten Avidity shares. Under Item 5.01, the company says Avidity was Atrium's sole stockholder immediately before the separation and distribution, and that Avidity holds no ownership interest in Atrium afterward.

## The license and the transition services agreement

On February 26, 2026, Atrium and Avidity signed an Amended and Restated License Agreement that changes an original license dated October 25, 2025. Under the original license, Atrium granted Avidity exclusive and non-exclusive licenses to Atrium's platform technology and other intellectual property, and Avidity granted Atrium licenses to certain intellectual property it owns or controls. The amended agreement expands the scope of the intellectual property licensed between the two companies. The 8-K incorporates the description from the company's Form 10 registration statement, filed on February 17, 2026.

The license's recitals describe a related merger. They name Novartis AG, as parent, and Ajax Acquisition Sub, Inc. as parties to that transaction. The license refers to Atrium as SpinCo and to Avidity as RemainCo, and it states that Atrium was formerly known as Bryce Therapeutics, Inc.

The two companies also signed a Transition Services Agreement on February 26, 2026. Avidity will provide certain transition services to Atrium, and Atrium will provide certain nominal services to Avidity. The agreement also records an agreed retention program for Atrium service providers. Both the license and the agreement were filed with portions omitted, which the company says are not material and are the type of information it treats as private or confidential.

## Directors and officers

On February 26, 2026, four people were elected as Atrium directors in connection with the distribution: Carsten Boess, W. Michael Flanagan, Simona Skerjanec and Troy Wilson. Skerjanec and Boess are in Class I, with terms ending at the first annual meeting after the distribution. Wilson and Flanagan are in Class II, with terms ending at the second. Boess, Skerjanec and Wilson were appointed to the audit committee.

Kathleen Gallagher was elected President, and Brendan Winslow was elected Chief Financial Officer. Atrium entered into employment agreements with both on February 26, 2026. The company also adopted a 2026 Incentive Award Plan and a 2026 Employee Stock Purchase Plan, in which executive officers and directors will participate. The 8-K says there are no arrangements or understandings under which the new directors were selected.

## What a spin-off leaves open

The distribution gives Avidity holders Atrium shares in proportion to their holdings, and the filing does not describe any cash raised by Atrium at the separation. Its programs are early stage, and the license and services agreement govern the continuing relationship with Avidity, including the licensed technology and the transition services.

The filing also says that the directors and officers' pay is set out in the information statement rather than in the 8-K, so the figures for them are not in this report. The 8-K does not give Atrium's share price or market value after the first day of trading.
