Atrium Therapeutics, Inc. (Nasdaq: [RNA](https://aibio.space/companies/atrium-therapeutics/)) said on October 8, 2026 that it signed a securities purchase agreement with a group of institutional investors for a private placement. The company expects aggregate gross proceeds of approximately $50 million, before placement agent fees and other offering expenses. The release gives no net proceeds figure.

Atrium agreed to sell 5,170,384 shares of common stock at $7.93 per share. It will also sell pre-funded warrants for up to 1,134,930 shares at $7.929 per warrant, which equals the $7.93 share price less the $0.001 exercise price. The pre-funded warrants are immediately exercisable and expire when exercised in full. The company says the placement was priced at-the-market under the rules of The Nasdaq Stock Market LLC. The deal is expected to close on or about October 9, 2026, subject to customary closing conditions.

The securities have not been registered under the Securities Act of 1933. Atrium signed a registration rights agreement with the investors on the same day, under which it agreed to file a registration statement covering the resale of the common shares and the shares issuable on the pre-funded warrants. The release also says the securities may not be offered or sold in the United States without registration or an applicable exemption.

## Who bought and who placed the deal

The release names Sirenia Capital Management LP, Aberdeen Investments, Montanova, Sessa Capital and Casdin Capital among the investors, and says the group includes others. Leerink Partners acted as lead placement agent. Cantor, Barclays and Wells Fargo Securities acted as placement agents. The release does not name legal counsel for the company or for the agents, and it does not state the placement agent fees.

## Use of the money and the runway

Atrium says it intends to use the net proceeds, together with its current cash, cash equivalents and investments, to fund development of its two lead product candidates, its other research programs, working capital and general corporate purposes. The company estimates that the net proceeds and existing cash, cash equivalents and investments will fund its operations through 2028.

That runway estimate is the company's own figure. The release gives no cash, cash equivalents or investment balance before the placement, no operating loss and no cash used in operations, so an investor reading only this document cannot check how the estimate was built. The release also does not say how much of the proceeds would go to each program.

## The programs behind the financing

The release describes Atrium as a company pioneering targeted delivery of RNA therapeutics to the heart, aimed at people with cardiomyopathies. It says the Food and Drug Administration cleared an Investigational New Drug application for ATR 1072 for PRKAG2 syndrome, and that the company is advancing that program into the clinic through the Corventis Phase 1/2 clinical trial. The release names ATR 1086 for phospholamban cardiomyopathy in the pipeline, and it lists two undisclosed research targets in rare cardiomyopathies.

The release says the platform combines the tissue selectivity of monoclonal antibodies and other targeted delivery ligands with oligonucleotides, delivering small interfering RNA through non-viral delivery. Atrium says the approach builds on delivery to skeletal muscle and applies it to the heart, and that it has the potential to overcome non-specific tissue delivery. Those are the company's claims. The release does not report clinical results from the Phase 1/2 trial, so the delivery approach has not been shown in patients in this document.

The platform was designed at Avidity Biosciences, Inc., the release says. The Corventis trial is a Phase 1/2 study, which by its design is an early step, and the release gives no timetable for data from it.

## What the release leaves out

The release does not disclose a prior cash balance, a debt position or the number of shares outstanding after the closing. Those figures would be needed to measure how much the placement dilutes existing holders. It also gives no date for the registration statement covering the resale shares, and no figure for the placement agent fees that will reduce the $50 million.
