## The offering

Atara Biotherapeutics, Inc. (Nasdaq: [ATRA](https://aibio.space/companies/atara-biotherapeutics/)) agreed to sell 834,237 shares of common stock and pre-funded warrants to buy up to 1,587,108 shares in an underwritten registered direct offering. The deal was reported in a Form 8-K. The prospectus supplement is dated May 14, 2025.

The shares are priced at $6.61 each, and each pre-funded warrant at $6.6099, which is the share price less $0.0001. The total offering price is $16,004,931.74. Underwriting discounts and commissions are $640,197.27, or $0.2644 a share, which leaves $15,364,734.47 of proceeds before expenses. The last reported sale price of the stock on May 14, 2025 was $6.61, the same as the offering price.

## The banks

TD Securities (USA) LLC is representative of the underwriters under the underwriting agreement. The prospectus supplement's signature block shows the same bank under the name TD Cowen. Cowen and Company, LLC separately runs an at-the-market program under a sales agreement dated November 1, 2023, with $88.7 million still available at December 31, 2024.

Delivery of the shares and warrants was expected on or about May 16, 2025. Atara agreed not to issue or sell more securities for 30 days after closing, subject to exceptions.

## The shelf and the use of money

The offering was made under a shelf registration statement, registration number 333-275256, declared effective on November 13, 2023. Atara says it intends to use the net proceeds to fund its ongoing activities needed to achieve approval of a biologics license application, or BLA, for tab-cel, and for working capital and other general corporate purposes.

## Tab-cel and the manufacturing problem

Tab-cel, short for tabelecleucel, is Atara's lead program. The prospectus describes it as in Phase 3 development in the United States for patients with EBV-associated post-transplant lymphoproliferative disease who have failed rituximab or rituximab plus chemotherapy. It has marketing authorization under the name EBVALLO in the European Economic Area, the United Kingdom and Switzerland, and is partnered with Pierre Fabre Medicament for commercialization in Europe and potential commercialization elsewhere, including the United States.

The U.S. path has been slowed by manufacturing. The prospectus says the FDA asked for remediation of a third-party manufacturing facility before the BLA could be resubmitted. In March 2025, Atara completed the transfer of all manufacturing responsibility to Pierre Fabre under an amended and restated commercialization agreement. Pierre Fabre agreed to assume the costs of that remediation. In exchange, Atara agreed to reduce certain potential future regulatory and commercial milestone payments under the agreement.

The prospectus also says the FDA placed the EBVALLO program on clinical hold in January 2025, a hold it linked to good manufacturing practice issues, and that the FDA lifted the hold on the active investigational new drug applications after reviewing supplemental data on finished drug product. The prospectus dates the lifting to May 5, 2025.

## What the company says about its finances

The risk factors say the company has incurred substantial losses since inception, has limited commercialization revenue and may never reach profitability. They also say it needs substantial near-term financing, and that failure to obtain it could force it to delay, reduce or end programs.

## What the offering leaves open

The raise is small against the company's needs. The prospectus supplement expects to report about $13.8 million of cash, cash equivalents and short-term investments at March 31, 2025, a preliminary and unaudited estimate, and about $15.0 million of net proceeds from this offering. Atara says that combined with workforce reductions announced in January, March and May 2025 and the transfer of manufacturing to Pierre Fabre, the money will fund planned operations through potential BLA approval. It adds that the estimate rests on assumptions and that delays would add cash needs.

In May 2025 the company announced a further workforce reduction of about 30%, leaving about 23 employees, with about $1.4 million of severance costs expected. A review of strategic options, including a merger or asset sale, is paused until its second-quarter 2025 FDA meeting on BLA resubmission timing. Two purchasers in this offering, Panacea Ventures and Redmile Group, will each place a managing director on the board once it completes: James Huang and Nachi Subramanian.
