Aspira Women's Health Inc. said on May 15, 2025 that it cannot file its quarterly report on Form 10-Q for the quarter ended March 31, 2025, on time. The company filed a notification of late filing under Form 12b-25, known as an NT 10-Q, the same day. The Austin, Texas company listed its CEO, Michael Buhle, as the contact for the notice, which he signed on the same date.

## Why the report is late

The notice says the company needs more time to complete the accounting for, and the disclosures about, certain debt and equity transactions entered into during the quarter. It expects to file the report within the 5 calendar day extension the form allows.

The notice does not name those transactions. The annual report filed in March 2025 describes a securities purchase agreement entered into on March 5, 2025, in a private placement with certain existing accredited shareholders. That placement covered about $1,365,000 of senior secured convertible promissory notes, which convert into units with warrants. The date falls within the quarter, but the notice does not say whether this placement is among the transactions it means.

The annual report gives the notes' terms. They are senior secured obligations that accrue interest at 3.34%, payable quarterly in kind, and mature on March 6, 2030. The company may convert them into units if the net proceeds from the notes and later sales of stock and warrants reach $4 million. The warrants are exercisable at $0.25 per share for the first 24 months after issuance and at $0.50 per share after that. The holders are entitled to three representatives on the board of directors.

Aspira describes itself as dedicated to noninvasive, AI-powered tests to aid in the diagnosis of gynecologic disease, starting with ovarian cancer. It owns Aspira Labs, a research and commercial CLIA laboratory in Texas, and sells tests that include OvaWatch, Ova1Plus and OvaSuite.

The annual report also said the company's current capital resources were not sufficient to fund its operations for the rest of 2025, and that it had been pursuing strategic alternatives.

## The earnings preview

The notice also gives a preview. Aspira expects its quarterly results to show a significant change from the same period a year earlier, including a decrease in net loss and loss per share. It attributes that to a $1,500,000 milestone payment related to the Advanced Research Projects Agency for Health (ARPA-H) Sprint for Women's Health, together with decreased operating expenses.

The notice gives no figures for net loss, loss per share or operating expenses, so the size of the expected improvement cannot be measured from it. It also does not say whether the milestone payment will recur. The expected improvement is therefore tied in part to one payment, and the notice does not say whether it will recur.

## What the notice leaves out

The notice says the company has filed all other periodic reports required during the preceding 12 months. It does not describe the debt and equity transactions, their terms or how the company plans to account for them. It also gives no date beyond the extension period for when the quarterly report will be filed.

Read with the annual report, the notice shows a company that said in March that its capital was not enough for the rest of 2025, and that in May was still finishing the accounting for its financing activity from the quarter. The expected improvement in the loss is tied in part to a milestone payment, and the accounting for the quarter's financing is still open.
