Ascendis Pharma said on September 14 that it will take back the rights to its TransCon technology in metabolic and cardiovascular diseases from Novo Nordisk, including obesity. The same day, its board [authorized the company to buy back up to $400 million of its shares](https://www.sec.gov/Archives/edgar/data/1612042/000119312526390874/d52763d6k.htm).

Under the agreement, the licenses Novo held in those fields, including for once-monthly TransCon semaglutide, [revert to Ascendis](https://www.sec.gov/Archives/edgar/data/1612042/000119312526390877/d183438d6k.htm). Neither company has any continuing financial obligation to the other. The reversion follows a termination Ascendis first announced in November 2024.

## The details

The company's [filing](https://www.sec.gov/Archives/edgar/data/1612042/000119312526390877/d183438d6k.htm) says the rights return to Ascendis for development, manufacturing and commercialization in metabolic and cardiovascular disease. It did not name a new partner or give a plan for the programs.

The buyback allows purchases through open-market trades, private deals, block trades, accelerated repurchases and trading plans. The company said the program [does not require it to buy any set number of shares](https://www.sec.gov/Archives/edgar/data/1612042/000119312526390874/d52763d6k.htm) and can be changed or stopped at any time.

Quiver Quantitative, a market data site, reported on September 15 that Ascendis shares were [down 10.9% that day](https://www.quiverquant.com/news/Ascendis+Pharma+Slides+as+Investors+Weigh+Novo+Rights+Reversion+Despite+Buyback), and tied the move to the end of the Novo collaboration. The site's explanation is an automated analysis, so the cause is not confirmed.

## Context

Ascendis said in its [second-quarter report](https://www.sec.gov/Archives/edgar/data/1612042/000119312526348046/d31437dex991.htm) that it had €812 million of cash at June 30. In the quarter it sold a priority review voucher for €158 million net and settled $575 million of convertible notes into equity. It had already been repurchasing shares under an earlier program.

Ascendis has been narrowing its focus. In its [first-quarter report](https://www.sec.gov/Archives/edgar/data/1612042/000119312526210386/d121855dex991.htm), it said it would stop internal development of its TransCon IL-2 oncology program because further oncology work "does not align with our strategic focus." Its commercial products are in rare endocrine disease: YORVIPATH, SKYTROFA and YUVIWEL.

Novo Nordisk does not owe Ascendis anything further, and Ascendis owes nothing to Novo, according to the [filing](https://www.sec.gov/Archives/edgar/data/1612042/000119312526390877/d183438d6k.htm).

## What it means for investors

The reversion is a trade-off. Ascendis gets [full ownership](https://www.sec.gov/Archives/edgar/data/1612042/000119312526390877/d183438d6k.htm) of a once-monthly semaglutide formulation and any other metabolic use of its platform, with no royalty owed to Novo under the terms in the filing. But it loses a large partner, and it now has to decide whether to fund obesity work itself, find a new partner or leave it idle. The filing does not say which.

The buyback signals that management sees room to return capital. The size is large against [€812 million of cash](https://www.sec.gov/Archives/edgar/data/1612042/000119312526348046/d31437dex991.htm) at the end of June, but the company has no obligation to spend it, and the quarter's profit was helped by the one-time voucher sale. Investors will want to see how much is actually repurchased.

The [reaction cited above](https://www.quiverquant.com/news/Ascendis+Pharma+Slides+as+Investors+Weigh+Novo+Rights+Reversion+Despite+Buyback) shows how the market weighed it: the loss of a partner counted for more than the buyback on the first day.

## What to watch

Ascendis has [not said](https://www.sec.gov/Archives/edgar/data/1612042/000119312526390877/d183438d6k.htm) whether it will pursue obesity programs alone. The next report is third-quarter results, and the company did not give a date in the filings reviewed here.
