## Key facts

- **Company**: Arvinas, Inc. (NASDAQ: ARVN)

- **News type**: Distress

- **Primary source**: [ARVINAS, INC. Form 8-K filed May 1, 2025 (SEC EDGAR)](https://www.sec.gov/Archives/edgar/data/1655759/000165575925000081/arvn-20250430.htm)

Arvinas, Inc. (Nasdaq: [ARVN](https://aibio.space/companies/arvinas/)) said on May 1, 2025 that it will cut its workforce by about 33% across all areas of the company. It also said that it and Pfizer, Inc. have removed two planned Phase 3 combination trials of vepdegestrant from their agreed joint development plan. Arvinas reported both items in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1655759/000165575925000081/arvn-20250430.htm) filed the same day it reported results for the quarter ended March 31, 2025.

## The workforce reduction

On April 30, 2025, management, acting under authority the board delegated to it, committed the company to the cut and approved it. The filing says the reduction is part of a decision to streamline operations and to move the company's portfolio forward efficiently. It reports the cut under Item 2.05, which covers costs associated with exit or disposal activities.

Arvinas expects the reduction to be substantially complete by the end of the second quarter of 2025. It expects about $10 million in costs, consisting of severance and other one-time termination benefits, mostly recognized in the second quarter. The filing says the cost estimate and its timing depend on assumptions, and that actual results may differ. It also warns that the company may take other charges or cash spending it has not yet planned for.

The filing does not say which functions or programs lose the most staff. It describes the cut only as applying across all areas of the company.

## The trials that were dropped

Under Item 8.01, Arvinas and Pfizer removed two planned Phase 3 combination trials of vepdegestrant from the agreed joint development plan. One was a first-line Phase 3 combination with atirmociclib, a cyclin-dependent kinase 4 inhibitor that Pfizer describes as novel and investigational. The other was a second-line Phase 3 combination with a CDK4/6 inhibitor.

The 8-K does not give the reason for either removal, and it does not say whether either trial will be run by another party or replaced. Those trials were part of the plan for vepdegestrant that the company had agreed with its partner, so the cut narrows what the two companies had planned to test.

## Losses and the funding question

The annual report for 2024, filed February 11, 2025, reports net losses of $198.9 million for 2024, $367.3 million for 2023 and $282.5 million for 2022. The company says it has never generated revenue from product sales and may never become profitable.

The report says its cash, cash equivalents and marketable securities are expected to fund planned operating expenses and capital spending into 2027. It also lists the need for substantial additional funding as a principal risk. The filing does not state the year-end cash balance in the text of the 8-K.

The 8-K's forward-looking statements name the risks of the cut: that costs may be greater than expected, that it may hurt the company's ability to keep skilled staff, and that it may distract employees and management. It also lists the company's ability to manage expenses and to raise the substantial additional capital its goals require.

## What the cut does not answer

Arvinas is cutting a third of its staff while two planned Phase 3 combination trials of vepdegestrant have been dropped from the joint development plan with Pfizer. The 8-K does not explain how the reduction changes the timeline for the remaining trials, and it gives no date for the next capital decision. Until then, the stated runway into 2027 is the company's own projection, and the filing offers no figure to test it.
