## The workforce cut and the cost

Arvinas, Inc. (Nasdaq: [ARVN](https://aibio.space/companies/arvinas/)) said on September 17, 2025 that management, under authority delegated by its board, committed to a reduction in workforce of about 15%. The release calls it an additional 15% reduction. The cuts are spread across functional areas and are primarily tied to commercialization of vepdegestrant, and the most significant reductions are in roles related to its commercialization. The company expects the reduction to be substantially complete during the first quarter of 2026.

The company expects to incur about $4.5 million of severance and other one-time employee termination costs, mainly in the third and fourth quarters of 2025. It warns that the estimate rests on assumptions and that actual results may differ.

## The vepdegestrant decision

The company and Pfizer, Inc. have jointly agreed to out-license the commercialization rights to vepdegestrant to a third party. The companies have begun seeking a partner with the capabilities to maximize its commercial potential, if approved, for patients with estrogen receptor 1-mutant, estrogen receptor positive, HER2-negative advanced or metastatic breast cancer. The release also says the companies may potentially develop the drug in new settings.

Arvinas says it will further limit spending on the program, but only to support commercialization readiness and the out-licensing, and always subject to alignment with Pfizer. The company describes the change as a response to a revised development plan for vepdegestrant and to a refocus on its early development programs. The filing does not give the terms of the Pfizer arrangement, the size of any payment to Arvinas, or how the two companies will share the cost of the out-licensing.

## The $100 million buyback

The board authorized a share repurchase program of up to $100 million of Arvinas common stock on the same day. The program can use open market purchases, privately negotiated block trades, accelerated repurchases and other private transactions, and it can run under a Rule 10b5-1 plan, which allows buying when insider trading rules would otherwise block it. The company will fund it from working capital.

The program has no time limit and can be changed, suspended or ended at any time. The company says it cannot predict when or whether it will buy any shares, which depends on price, its capital needs and market conditions.

The filing gives no figure for the cash the buyback could use, and it does not explain how the company will balance a buyback against the cuts.

## The runway estimate

The company says its cash, cash equivalents and marketable securities as of June 30, 2025, together with the workforce reduction and the other actions, will fund planned operating expenses and capital expenditures into the second half of 2028. The filing does not give the June 30 balance in dollars, so the estimate cannot be checked from the filing alone. The company says the estimate rests on assumptions that may prove wrong, and that it could use its capital sooner than expected. The filing does not say whether the buyback is included in that estimate.

The filing also refers to "multiple anticipated value inflection points in the coming months." It does not name those events, their dates or their size.

## The science behind the pipeline

The company's most recent annual report describes its PROTAC targeted protein degraders as chimeric small molecules with two active ends. One end binds the target protein, the other recruits an E3 ligase, which tags the protein with ubiquitin so the cell's proteasome destroys it. The company says this approach uses the cell's natural disposal system.

The annual report contrasts its approach with other methods. It says HSP90 inhibitors have shown limited efficacy in the clinic to date. It says some other degraders work only on proteins able to adopt a non-native state, which leaves many protein targets unaddressed. It says gene therapy faces limits on delivery, expression, durability and manufacturing, and that gene editing and gene silencing face delivery, stability, specificity and manufacturing challenges. These are the company's own descriptions of rival approaches. The business section does not cite trial data for any of the company's own degraders.
