## The shelf and the program

Artiva Biotherapeutics, Inc. (Nasdaq: [ARTV](https://aibio.space/companies/artiva-biotherapeutics/)) filed a Form S-3 shelf registration statement on August 6, 2026. The filing is a preliminary prospectus, with its date left blank and subject to completion. It covers up to $400,000,000 of common stock, preferred stock, debt securities and warrants that the company may sell from time to time, with the specific terms of each sale to be set out in later prospectus supplements.

The registration statement contains two prospectuses. The second covers an at-the-market offering of up to $100,000,000 of common stock under an amended and restated sales agreement with Leerink Partners LLC as sales agent. The filing says the $100,000,000 is included in the $400,000,000. If the sales agreement ends, any part of the $100,000,000 that has not been sold can be used in other offerings under the base prospectus. If no shares are sold under the agreement, the full $100,000,000 can be used in other offerings.

## Who sells and what it costs

Leerink Partners will act as sales agent using commercially reasonable efforts, on terms agreed between it and the company. It also says there is no arrangement for funds to be received in escrow, trust or any similar arrangement.

Leerink's compensation is a fixed commission rate of up to 3% of the gross sales price of each share sold under the sales agreement. Cooley LLP will pass on the validity of the securities offered by the prospectus. The filing does not name counsel for Leerink, and it does not name any other bank for the program. The fee rate and the program size are stated, but the filing gives no figure for shares sold so far under the amended agreement.

## Cash and losses

The filing itself gives no financial statements. The company's annual report for 2025, filed March 10, 2026, shows a company spending heavily before meaningful product revenue. Revenue was $251,000 in 2024. The net loss was $83.9 million for 2025, up from $65.4 million for 2024. Research and development expense rose to $69.5 million in 2025 from $50.3 million in 2024.

Cash used in operations was $76.8 million in 2025, against $55.0 million in 2024. At December 31, 2025, cash and cash equivalents were $26.7 million, and short-term investments were $81.3 million. A year earlier the figures were $40.2 million and $145.2 million. At June 30, 2026, the company reported cash and cash equivalents of $301.5 million and short-term investments of $47.9 million.

The change between the year-end and June 30 figures is large, and the figures do not explain what caused it.

## The lead program

The company's lead product candidate, AlloNK, is a non-genetically modified, cryopreserved natural killer cell therapy. The company says its cells come from donors rather than patients, are made in advance, stored frozen and are ready to ship, which it describes as off-the-shelf. AlloNK is being tested with B-cell targeted monoclonal antibodies in three ongoing trials in B-cell driven autoimmune diseases. These include a Phase 2a basket trial across several autoimmune indications, including rheumatoid arthritis and Sjögren's disease, and an investigator-initiated basket trial.

The filing does not report results from those trials. It also does not give dates for the regulatory submissions it lists as forward-looking, including the planned investigational new drug applications for its product candidates, or for approval of its manufacturing facility in San Diego. The company's own forward-looking statements name the cost and timing of trials, the ability to obtain funding and the size of the markets as uncertainties.

## What the filing leaves open

The S-3 gives the size of the shelf and the program and the fee rate, but not how many shares the company expects to sell, at what price, or over what period. The 2025 loss and the June 2026 cash balance are the company's own figures, and the filing does not tie them to the program. A reader can see that the company has a large shelf and an at-the-market program, but the filing does not say whether the program is needed.
