Artelo Biosciences, Inc. (Nasdaq: [ARTL](https://aibio.space/companies/artelo-biosciences/)) said on April 7, 2026 that it has received a letter from The Nasdaq Stock Market LLC confirming that the company has regained compliance with two listing rules. They are Listing Rule 5550(b)(1), known as the Equity Rule, and Listing Rule 5620(a), the Annual Shareholders Meeting Rule. The company announced the letter in a [press release](https://www.sec.gov/Archives/edgar/data/1621221/000164033426000662/artl_ex991.htm) filed as Exhibit 99.1 to a Form 8-K.

## The Nasdaq confirmation

Nasdaq based its confirmation on two earlier filings. Artelo's Form 8-K filed January 30, 2026 showed that it held its reconvened annual meeting on that date. Its Form 8-K filed March 30, 2026 showed that it had regained compliance with the Equity Rule. The release says the company will be subject to a mandatory panel monitor under Nasdaq Listing Rule 5815(d)(4)(B) for a period of one year from the date of the letter.

Gregory D. Gorgas, President and Chief Executive Officer, said: "We are pleased to have regained compliance with Nasdaq’s continued listing requirements." He added that, with the matter behind it, the company remains focused on disciplined execution across its portfolio.

## The pipeline

Artelo describes itself as a clinical-stage pharmaceutical company that develops treatments for cancer, pain, dermatological and neurological conditions. Its [10-K filed February 24, 2026](https://www.sec.gov/Archives/edgar/data/1621221/000164033426000368/artl_10k.htm) says the company was incorporated in Nevada on May 2, 2011, and is based in San Diego County, California.

Its lead program is ART27.13, a benzimidazole dual cannabinoid agonist that targets both the CB 1 and CB 2 peripheral receptors. AstraZeneca plc originally developed the compound. Artelo licensed it through the NEOMED Institute, which was renamed adMare Bioinnovations in June 2019. Artelo is developing ART27.13 as a potential treatment for cancer-related anorexia, which the filing says affects approximately 60% of advanced stage cancer patients. The clinical program is the Cancer Appetite Recovery Study, known as CAReS.

In an interim analysis of the ongoing Phase 2a portion, patients receiving ART27.13 had a mean weight gain of over 6% compared with a 5% loss in the placebo group. The filing says the safety profile was similar to the Phase 1b stage even at doses up to twice the previous maximum. It also states that there is currently no FDA approved treatment for cancer anorexia cachexia syndrome.

The Phase 2a portion started in April 2023 with 18 clinical sites across five countries. Regulators approved enrollment of 40 evaluable patients, randomized 3:1 to ART27.13 or placebo, and 32 participants had been enrolled as of December 31, 2025.

The second program, ART26.12, is a small molecule and the lead candidate from the company's library of fatty acid binding protein inhibitors, in particular FABP5. The FDA cleared its Investigational New Drug application in July 2024. In June 2025, Artelo announced results from a Phase 1 single ascending dose study that enrolled 49 subjects. All adverse events were mild, transient and self-resolving. The company says ART26.12 is advancing as a non-opioid and non-scheduled drug for neuropathic pain.

## Financial position

The company's XBRL data for fiscal 2025 shows research and development expense of $5.4 million, compared with $6.0 million for fiscal 2024. Net income (loss) was negative $12.9 million for 2025, against negative $9.8 million for 2024. Cash from operations was negative $8.5 million in 2025 and negative $8.3 million in 2024. Year-end cash and cash equivalents were $600,000 at December 31, 2025, according to the 10-K filed February 24, 2026.

## What remains unresolved

Compliance was regained but the company stays under a mandatory panel monitor for a year, and losses continue: net loss was $12.9 million in 2025, operating cash used was $8.5 million, and year-end cash was $600,000. The release calls the interim CAReS data encouraging, but it is an interim look at an ongoing trial that had enrolled 32 of 40 evaluable patients, and the sources give no p-value or patient numbers per arm. Partnership talks for ART27.13 are described without a named counterparty, terms or a date.
