Artelo Biosciences, Inc. (Nasdaq: [ARTL](https://aibio.space/companies/artelo-biosciences/)) received a Nasdaq deficiency notice dated May 22, 2025, saying it does not meet the minimum stockholders' equity requirement for continued listing on The Nasdaq Capital Market. The company reported the letter in a [Form 8-K filed May 23, 2025](https://www.sec.gov/Archives/edgar/data/1621221/000164033425000935/artl_8k.htm). Artelo has until July 7, 2025 to submit a plan to regain compliance. The notice has no immediate effect on the listing of its common stock.

## The Nasdaq stockholders' equity rule

The letter, from The Nasdaq Stock Market LLC, says Artelo is not in compliance with Nasdaq Listing Rule 5550(b)(1). The rule requires companies listed on The Nasdaq Capital Market to maintain a minimum of $2,500,000 in stockholders' equity for continued listing. In its quarterly report for the quarter ended March 31, 2025, Artelo reported stockholders' equity of $652,000. That figure is well below the minimum, and it is the reason for the notice.

## Deadlines and what Nasdaq can allow

Nasdaq's letter gives the company 45 calendar days, or until July 7, 2025, to submit a plan to regain compliance. If the plan is accepted, Nasdaq can grant the company up to 180 calendar days from May 22, 2025, or until November 18, 2025, to show compliance.

The filing says the letter has no immediate impact on the listing of the company's common stock. The stock will continue to be listed and traded on Nasdaq, subject to the company's compliance with the other continued listing requirements.

## Appeal rights and the company's warnings

The company says there can be no assurance that it will be able to regain compliance with all applicable continued listing requirements, or that Nasdaq staff will accept its plan. If the staff does not accept the plan, or if the plan is accepted but the company does not regain compliance within the plan period, Artelo would have the right to a hearing before an independent panel under the procedures in the applicable Nasdaq Listing Rules. The company adds that there can be no assurance that an appeal of a delisting determination to a panel would succeed.

## What Artelo says it will do

Artelo says it intends to take all reasonable measures available to regain compliance under the Nasdaq Listing Rules and remain listed on Nasdaq. It is evaluating its available options to resolve the deficiency and regain compliance with the minimum stockholders' equity requirement, and it intends to submit the compliance plan by the Nasdaq deadline. The filing again cautions that the plan may not be accepted, that the company may not regain compliance with Rule 5550(b)(1) or maintain compliance with the other Nasdaq listing requirements, and that it may not succeed in appealing a delisting determination.

## About the company

Artelo describes itself in its annual report on Form 10-K as a clinical stage biopharmaceutical company focused on therapeutics that target lipid-signaling modulation pathways, including the endocannabinoid system. It says it was incorporated in the State of Nevada on May 2, 2011, and is based in the County of San Diego, California.

The 10-K describes three programs. ART27.13 is a dual cannabinoid agonist that targets both the CB 1 and CB 2 receptors, and the company is developing it as a potential treatment for cancer-related anorexia in a Phase 1b/2a trial called the Cancer Appetite Recovery Study. ART26.12 is a small molecule inhibitor of fatty acid binding proteins, including Fatty Acid Binding Protein 5. The company says it received FDA clearance for its Investigational New Drug application for ART26.12 in July 2024 and has initiated a Phase 1 trial for chemotherapy-induced peripheral neuropathy. The annual report says the company's financial condition raises substantial doubt about its ability to continue as a going concern. As of December 31, 2024 it had cash, cash equivalents and investments of $2.3 million. It recorded a net loss of approximately $9.8 million for 2024 and used cash in operations of approximately $8.4 million. The third program, ART12.11, is a patented solid-state composition of cannabidiol and tetramethylpyrazine.

## Who is involved

President and Chief Executive Officer Gregory D. Gorgas signed the 8-K. The 10-K's risk factors describe him as the company's Chief Executive Officer, Chief Financial Officer, President, Treasurer and Secretary, and say the company depends heavily on him.
