(Nasdaq: [ARCT](https://aibio.space/companies/arcturus-therapeutics/)) filed a notice of late filing on November 12, 2025. It said its quarterly report for the period ended September 30, 2025 was not filed on time because of a technical transmission error. The notice is a [Form 12b-25](https://www.sec.gov/Archives/edgar/data/1768224/000119380525001558/e664959_nt10q-arct.htm), known as an NT 10-Q, and it gives no financial results. The company expects the Form 10-Q to carry a filing date of November 12, 2025. ## What the notice says The company says the report "was not filed timely due to a technical transmission error at the time of filing." It says the Form 10-Q will be transmitted after the 5:30 PM eastern time deadline on November 10, 2025. In other words, the report reached the SEC after that cutoff. The form gives a short extension. Under the rule it cites, a late quarterly report must be filed on or before the fifth calendar day after the due date. Arcturus checked the box for the Form 10-Q and the box saying the delay could not be eliminated without unreasonable effort or expense. In Part IV it answers yes when asked whether all other periodic reports required in the preceding 12 months have been filed. It answers no when asked whether it expects a significant change in results of operations from the same period a year earlier. Chief Financial Officer Andy Sassine signed the notice on November 10, 2025 and is the contact for questions about it. The notice does not say what caused the transmission error or whether anyone other than the company's own staff was involved. ## The business behind the filing In its [annual report on Form 10-K filed March 6, 2025](https://www.sec.gov/Archives/edgar/data/1768224/000095017025034787/arct-20241231.htm), Arcturus describes itself as a messenger RNA medicines company focused on infectious disease vaccines and on liver and respiratory rare diseases. The company says it developed the first approved self-amplifying messenger RNA vaccine, KOSTAIVE, which was approved in Japan in 2023 for COVID-19. The European Commission approved KOSTAIVE in February 2025. The 10-K says Meiji Seika Pharma, the exclusive partner in Japan of CSL Seqirus, began commercial sales of KOSTAIVE there in October 2024, and that Arcturus works with CSL Seqirus on its vaccine programs. The company points to two platforms. STARR is its self-amplifying mRNA technology, which it says induces a longer-lasting and broader immune response at lower doses than conventional mRNA vaccines. LUNAR is its lipid nanoparticle delivery system. Its internal pipeline includes RNA candidates for ornithine transcarbamylase deficiency and cystic fibrosis, both rare diseases. It began dosing a seasonal influenza candidate under the CSL Seqirus collaboration in January 2024. ## The money The 10-K says net cash used in operating activities was $59.7 million for 2024, compared with $18.1 million for 2023. It attributes the $41.6 million increase in cash used partly to the CSL collaboration and partly to a higher net loss. Its 2023 results included a $34.0 million debt extinguishment gain that did not recur. Accounts receivable improved by $57.4 million as CSL and BARDA paid amounts owed, which offset part of the higher cash use. The same 10-K lists "our ability to continue as a going concern" among the risks in its forward-looking statements. The NT 10-Q does not mention going-concern doubt. The 10-K's cover lists 27,119,823 shares of voting common stock outstanding as of March 4, 2025. The record shows a company that used more cash in 2024 than in 2023, relies on partners to sell its approved vaccine, and is now late with a report on its own quarter. The Form 10-Q, once filed, will give the quarter's cash and net loss, which this notice does not.
