Arbutus said it expects to begin returning up to about $230 million to shareholders in Q3 2026, but the form is not set, the board must approve it, and repurchases cannot start until a dividend from Genevant's parent arrives. The company received about $178 million from Moderna on July 8, 2026.

## The Moderna payment and the suits against Pfizer and BioNTech

Arbutus Biopharma Corporation (Nasdaq: [ABUS](https://aibio.space/companies/arbutus-biopharma/)) said in a press release dated July 16, 2026, filed as an exhibit to a Form 8-K, that it received approximately $178 million from Moderna, Inc. on July 8, 2026. The payment is Arbutus's share of a noncontingent payment under a March 2026 settlement that resolved patent infringement litigation with Moderna over lipid nanoparticle, or LNP, technology. Genevant is a subsidiary of Roivant Sciences Ltd. (Nasdaq: [ROIV](https://aibio.space/companies/roivant-sciences/)). The payment includes reimbursement of litigation costs under the company's license agreement with Genevant Sciences GmbH, its exclusive licensee.

In the same release, Arbutus and Genevant announced the filing of three international lawsuits against Pfizer Inc., BioNTech SE and certain affiliates. The release lists a case in the Federal Court of Canada, File No. T-3200-26, which concerns Canadian Patent No. 2,721,333. It also lists two cases at the Unified Patent Court, Case PR-UPC-CFI-0002562/2026 and Case PR-UPC-CFI-0002566/2026, which concern European patents EP 4 241 767 and EP 4 495 237. The European cases cover a list of European countries. The plaintiffs seek permanent injunctions and monetary damages, which in the Canadian case may take the form of an accounting of profits.

The release says the three actions expand on an existing case in the U.S. District Court for the District of New Jersey, which concerns five U.S. patents covering the mRNA-LNP COVID-19 vaccines of Pfizer and BioNTech. These are the plaintiffs' claims. The release reports no ruling on any of them.

## The capital return plan

Arbutus said it expects to return capital to shareholders starting in Q3 2026 through repurchases of up to approximately $230 million of its common shares. The release says the repurchases could take the form of a tender offer, including a modified "Dutch Auction" tender offer, open market purchases, privately negotiated transactions, accelerated share repurchases or other means. It also says the specific form remains subject to approval by the board of directors.

Two conditions limit the timing. Repurchases will not begin until Arbutus receives an expected dividend from Genevant's parent in Q3 2026, which relates to the roughly 16% stake Arbutus holds in that company's outstanding common equity. The release also says: "No assurance can be given that any such repurchase activity will occur in Q3 2026, or at all."

For scale, the 10-K filed March 23, 2026 reports total cash, cash equivalents and marketable securities of $91.5 million at December 31, 2025, and no outstanding debt. The $178 million Moderna payment arrived on July 8, after the year-end figures cited here.

## Finances and pipeline

The 10-K reports revenue of $14.1 million for 2025, against $6.2 million for 2024. The net loss narrowed to $33.5 million from $69.9 million, and cash used in operations fell to $39.6 million from $64.8 million. Research and development expense dropped to $25.2 million from $54.0 million after the company ceased discovery work, halted preparations for a potential IM-PROVE III clinical trial and cut staff. Total restructuring charges for 2025 were $12,939 thousand, and the company decided to exit its Warminster, Pennsylvania headquarters.

Year-end 2025 cash and cash equivalents were $18.0 million, with $73.5 million in investments in marketable securities. The XBRL figures give cash and cash equivalents of $19.2 million at June 30, 2026, with short-term investments of $73.5 million on the same date.

The pipeline is narrow. Arbutus is developing imdusiran (AB-729) and an oral PD-L1 inhibitor, AB-101, for chronic hepatitis B infection. The company calls the data it reported in November 2024 from the IM-PROVE I trial of imdusiran positive. It has since halted preparations for a potential IM-PROVE III trial. The company also owes former Enantigen shareholders up to $102.5 million in sales performance milestones on a first commercialized hepatitis B product, plus a low single-digit royalty capped at $1.0 million.

## What comes next

The company expects the Genevant dividend in Q3 2026 and says any buyback would follow it. The release gives no date for a board decision on the form of the repurchase and no date for the court cases. At year-end 2025, before the Moderna payment, the company held $91.5 million in cash and investments and had used $39.6 million in operations during the year.
