## The notice and the closing letter

AquaBounty Technologies, Inc. said in an 8-K filed September 17, 2025 that Nasdaq has confirmed it again meets the $1.00 minimum bid price rule for the Nasdaq Capital Market. The company received a letter from Nasdaq's Listing Qualifications Department on September 15, 2025, saying it had regained compliance with Nasdaq Listing Rule 5550(a)(2) and that the matter is closed.

The rule requires listed securities to keep a minimum bid price of $1.00 per share. Nasdaq's first letter, dated January 15, 2025, said the closing bid price had been below $1.00 for 30 consecutive business days, so the company no longer complied. The 8-K does not give the closing bid price, the period in which the stock traded above $1.00, or the steps the company took to regain compliance. It also does not say whether a reverse stock split was involved.

The 8-K is signed by David A. Frank, who is interim chief executive, chief financial officer and treasurer. The company's address is 233 Ayer Road, Suite 4, Harvard, Massachusetts. Its common stock trades under the symbol AQB on The NASDAQ Stock Market LLC.

## A company that has sold its farms

The 2024 annual report on Form 10-K describes a company that has largely exited its operations. AquaBounty was incorporated in Delaware in 1991 to study antifreeze proteins. In 1996 it obtained exclusive rights to a gene construct used to create a farm-raised Atlantic salmon that grows faster than conventional salmon. The company says its strategy has been built on that salmon, land-based farms, vertical integration and biotechnology.

The company sold its grow-out farm in Indiana in July 2024, sold equipment originally bought for its Ohio farm project through 2024, and sold its Canadian subsidiary, including the broodstock farms in Prince Edward Island, along with its intellectual property for the GE Atlantic salmon, in March 2025. It says it no longer operates any salmon farm. Its primary remaining asset is the Ohio Farm Site, which consists of land and construction in process for a commercial recirculating aquaculture facility. The company says it has engaged an investment bank to advise on strategic alternatives for that asset, including new investment, a partnership or other options.

The impairments were heavy. The company recorded a $22.5 million impairment on the Indiana farm after its sale, then $26.3 million on the remaining Ohio equipment. At year-end it took $18.2 million on that equipment and $57.3 million on the Ohio Farm Site. The Canadian farms and corporate IP added $5.4 million and $0.2 million. The 10-K says impairments recorded in 2024 by asset group total $129.8 million.

The 10-K also says the Indiana and Canadian farms are treated as discontinued operations for 2024 and 2023, and that the cost to complete the Ohio farm rose with inflation and other factors. Those cost increases impaired its ability to pursue municipal bond financing, which the company calls a necessary part of its funding strategy.

## The reverse split and the market

AquaBounty's board approved a 1-for-20 reverse stock split in 2023, after stockholders approved it on October 12, 2023. The split took effect on October 16, 2023, and cut authorized common shares from 150 million to 75 million.

The 10-K cites the Food and Agriculture Organization of the United Nations for a $296 billion aquaculture industry in 2022, with salmon farming accounting for $22 billion. It cites a projection of 9.7 billion people by 2050. The company says its strategy rested on the GE Atlantic salmon and its farms, and it has sold both.

The 8-K gives no cash, revenue or loss figures. The business section in the 10-K describes the company's remaining asset and its sales, but it does not state how much cash the company holds or spends. The filings therefore show the bid-price result without showing whether the company can fund the Ohio project.
