Aptevo Therapeutics Inc. (Nasdaq: [APVO](https://aibio.space/companies/aptevo-therapeutics/)) closed a warrant inducement and a private placement on August 13, 2026. The company puts the combined gross proceeds at approximately $4.5 million, before deducting placement agent fees and expenses. It disclosed the deals in a [Form 8-K filed August 13, 2026](https://www.sec.gov/Archives/edgar/data/1671584/000119312526349380/apvo-20260812.htm).

## The warrant inducement

On August 12, 2026, Aptevo entered into Warrant Inducement and Reload Letters with certain holders of its common stock purchase warrants. The warrants had been issued on June 20, 2025, April 3, 2025 and December 12, 2024. A warrant inducement is an offer of a lower exercise price, here together with new warrants, in return for exercising existing warrants for cash.

Under the letters, the holders agreed to exercise in full for cash their existing warrants to purchase up to an aggregate of 254,922 shares of common stock at a reduced exercise price of $4.03 per share. Aptevo would receive gross proceeds of up to approximately $1.0 million from those exercises before deducting placement agent fees and other expenses.

In return, Aptevo issued new unregistered warrants, called Inducement Warrants, to purchase up to an aggregate of 1,274,610 shares at an exercise price of $4.03 per share. They become exercisable on or after the date Aptevo obtains the required stockholder approval and expire on the five year anniversary of that approval. The form of the [inducement letter](https://www.sec.gov/Archives/edgar/data/1671584/000119312526349380/apvo-ex10_1.htm) sets the new warrants at 500% of the number of existing warrant shares exercised.

## The private placement

Also on August 12, 2026, Aptevo signed a Securities Purchase Agreement with the same holders. It agreed to sell in a private placement up to 861,708 unregistered shares of common stock at $4.03 per share. A purchaser could instead elect to receive pre-funded warrants to purchase up to 861,708 shares, to stay within a 4.99% or 9.99% beneficial ownership limit. The shares come together with common warrants to purchase up to 4,308,540 shares at an exercise price of $4.03 per share.

The pre-funded warrants are immediately exercisable and expire on exercise in full. The common warrants become exercisable on or after the date of stockholder approval and expire on the five year anniversary of that date. The filing says Aptevo may not effect an exercise that would push a holder above the 4.99% or 9.99% limit, as applicable.

## Registration, fees and use of proceeds

Aptevo signed a Registration Rights Agreement dated August 12, 2026. It requires the company to file a resale registration statement on Form S-1, or Form S-3 if it is then eligible, as soon as reasonably practicable and in any event by August 22, 2026. Aptevo must use commercially reasonable efforts to have it declared effective by September 26, 2026, or October 26, 2026 if the SEC conducts a full review. If the company fails to timely deliver warrant shares without restrictive legends, it has agreed to pay certain liquidated damages to the holders.

Roth Capital Partners acted as exclusive placement agent. Under a Placement Agency Agreement dated August 12, 2026, Aptevo agreed to pay Roth a fee equal to 7% of the aggregate gross proceeds. It also agreed to reimburse Roth's accountable legal expenses of up to $100,000. The company expects to use the net proceeds for working capital and general corporate purposes.

## About Aptevo

In its [press release](https://www.sec.gov/Archives/edgar/data/1671584/000119312526349380/apvo-ex99_1.htm), Aptevo describes itself as a clinical-stage biotechnology company developing novel multispecific immunotherapies for cancer. Its lead clinical candidate, mipletamig, is being evaluated in frontline acute myeloid leukemia in combination with venetoclax and azacitidine. The pipeline comes from its ADAPTIR and ADAPTIR-FLEX platforms. In preclinical development, it is advancing APVO451, a nectin-4-targeted trispecific candidate for solid tumors.

Senior Vice President and Chief Financial Officer Daphne Taylor signed the 8-K. The 10-K filed March 26, 2026 reports a net loss of $26.0 million for 2025, against $24.1 million for 2024, and cash used in operations of $25.6 million, against $23.8 million. About $4.5 million in gross proceeds is therefore small beside a year of cash burn. The new warrants and PIPE warrants cover 1,274,610 and 4,308,540 shares at $4.03, many times the 254,922 and 861,708 shares being sold or exercised now.
