Aptevo Therapeutics Inc. (Nasdaq: [APVO](https://aibio.space/companies/aptevo-therapeutics/)) took two financing steps on June 16, 2025. It signed a $25.0 million standby equity line with an investor and filed a [Form S-1](https://www.sec.gov/Archives/edgar/data/1671584/000095017025086548/apvo-2025-s1_-_june_offe.htm) for a stock and warrant offering.

## The Yorkville equity line

Aptevo signed a Standby Equity Purchase Agreement with YA II PN, LTD. (Yorkville), a Cayman Islands exempt limited company, according to an [8-K](https://www.sec.gov/Archives/edgar/data/1671584/000095017025087368/apvo-20250616.htm). The company may sell up to $25.0 million of common stock to Yorkville over the 36 months after signing, but is not obliged to. Shares are bought at 96% of the lowest daily volume weighted average price during a three consecutive trading day period.

Aptevo paid a $25,000 structuring fee and owes a commitment fee of 2.00% of the commitment amount, due in five equal quarterly installments. Yorkville does not have to buy anything until a resale registration statement is declared effective. Its holdings are also capped at 9.99% of the outstanding voting power or shares.

Under Nasdaq rules, Aptevo may not sell Yorkville more than 151,755 shares, which is 19.99% of the shares outstanding on the effective date, unless stockholders approve more or the average sale price reaches $3.66 a share.

## The warrant offering

The S-1 is a preliminary prospectus for a reasonable best efforts offering of up to 1,709,401 shares of common stock, with up to 8,547,005 common warrants. Each share, or each pre-funded warrant sold instead of a share, comes with five common warrants. The filing uses an assumed combined price of $4.68, the last reported sale price on June 9, 2025,. The common warrants become exercisable only after any stockholder approval Nasdaq rules require, and expire five years after that approval. Without it, the filing says, they have no value.

Roth Capital Partners, LLC is the exclusive placement agent. It is paid a cash commission of 7.0% of proceeds, plus $100,000 of legal and other expenses, and has a right of first refusal on future offerings through December 31, 2025. Paul Hastings LLP is company counsel, and Ellenoff Grossman & Schole LLP represents the placement agent. The offering ends no later than June 30, 2025.

There is no minimum. The company says it may sell far fewer securities than offered and that investors get no refund if the amount raised cannot support operations. It estimates net proceeds of approximately $7.2 million if everything sells. If every common warrant were exercised for cash, it says, about $37.1 million more would arrive, or about $8.0 million at a floor price of $0.936. That depends on stockholder approval and holders choosing to exercise.

## Cash, dilution and listing risk

At March 31, 2025, cash and cash equivalents were $2,139 thousand, stockholders' deficit was $1,473 thousand and the accumulated deficit was $253,985 thousand. Those figures leave out $7.9 million of gross cash raised through equity sales between March 31 and June 9, 2025, including registered direct offerings and sales through an at-the-market program with Roth Capital as sales agent. As of June 9, there were 755,856 common shares outstanding.

Net tangible book value was a liability of $2.9 million, or $40.33 per share, on March 31. Moss Adams LLP, the auditor, gave an unqualified opinion on the 2024 statements with an explanatory paragraph about going concern uncertainty. The filing also warns the stock could be delisted if Aptevo fails Nasdaq's continued listing rules, including the $1.00 minimum closing bid price.

## The pipeline

Aptevo calls itself a clinical-stage biotechnology company. Its lead candidate, mipletamig, is a CD3xCD123 T cell engager in the RAINIER Phase 1b/2 trial for frontline acute myelogenous leukemia, given with venetoclax and azacitidine. The company says 5 of 6 evaluable RAINIER patients achieved remission and that 9 of 10 frontline patients across two trials reached complete remission or complete remission with blood markers not yet recovered. Those are very small groups. Its second candidate, ALG.APV-527, targets 4-1BB and 5T4 in solid tumors. In preliminary results from nineteen patients, 58% reached a best response of stable disease, which is not tumor shrinkage.
