Apimeds Pharmaceuticals US, Inc. said in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1894525/000121390026102321/ea0306326-8k_apimeds.htm) that its one-for-ten reverse stock split became effective at 12:01 a.m. Eastern Time on July 24, 2026. The common stock began trading on a split-adjusted basis on NYSE American LLC under the symbol APUS at the open of trading that day. Dr. Vin Menon, Co-Chief Executive Officer, signed the report.

## The terms

On July 23, 2026, the company filed a Certificate of Amendment to its Amended and Restated Certificate of Incorporation with the Secretary of State of the State of Delaware. The amendment made two changes. It effected the one-for-ten reverse split, and it reduced the par value of the common stock from $0.01 per share to $0.001 per share. Every ten shares of issued and outstanding common stock were combined into one share. No fractional shares were issued. Stockholders who would otherwise have received a fractional share received one whole share instead.

Immediately before the split, there were 15,091,180 shares of common stock outstanding. Immediately after, there were 1,509,118 shares. An additional 33,506 shares were later issued to accommodate the rounding up of fractional shares at the beneficial holder level through the Depository Trust Company. The split did not change the authorized shares, which remain at 100,000,000 for common stock and 10,000,000 for preferred stock. The new CUSIP number is 03771D201. Outstanding equity awards and warrants were adjusted proportionately, including their exercise prices.

## Background to the listing

On December 1, 2025, the company entered into and closed an Agreement and Plan of Merger with Apimeds Merger Sub, Inc., MindWave Innovations Inc., Lokahi Therapeutics, Inc. and Erik Emerson, who acted as representative for the Bio Business. Merger Sub merged into MindWave, which survived as a direct wholly owned subsidiary of the company. The annual report says the holders of MindWave common stock were to receive preferred stock and a common stock allocation capped at 0% of the common shares outstanding under the merger agreement, structured so that they would hold, on an as-converted and fully diluted basis, 90.9% of the company's equity capital as of the closing.

Stockholders holding approximately 51% of the common stock approved the preferred stock conversion, the conversion of convertible notes issued under a securities purchase agreement with institutional investors, the reverse split, an increase in the 2024 Equity Incentive Plan to 2,096,679 shares, and the 2025 Equity Incentive Plan. The approval came by written consent on December 1, 2025. The company then filed and mailed an information statement under Rule 14c-2, and the reverse split could not take effect until at least 20 calendar days after that mailing.

The annual report, filed on May 4, 2026, also said the company expected to file the charter amendment following the waiting period, or March 25, 2026. It said the merger, the preferred stock conversion and the notes conversion would together cause a change in control under the NYSE American Company Guide. As a result, the company would have to submit a new listing application to NYSE American.

## Financial position and what the split leaves open

For the fiscal year ended December 31, 2025, the company reported research and development expense of $1.6 million and a net loss of $6.0 million, compared with a net loss of $1.4 million for 2024. Cash from operations was negative $8.9 million in 2025 and negative $733,526 in 2024. Cash and cash equivalents were $278,371 at June 30, 2026, according to a 10-Q filed August 14, 2026.

The 8-K gives no reason for the split. It leaves authorized common shares at 100,000,000 against 1,509,118 outstanding after the split, so the company keeps wide room to issue more stock. The annual report said the company did not intend to carry out the preferred stock conversion and the notes conversion until NYSE American approved the listing application. Under the merger terms, holders of MindWave stock were to hold 90.9% of the equity on an as-converted basis, so current holders face dilution when those conversions happen. The filing does not say whether the listing approval has been given.
