Apimeds Pharmaceuticals US, Inc. reported in a Form 8-K dated September 30, 2026, under Item 5.02, that Erick Frim notified the company on September 29, 2026 of his resignation as interim chief financial officer, effective immediately. The company said Mr. Frim was reappointed as interim chief financial officer on March 30, 2026. The filing states that his resignation was not the result of any disagreement with the company on any matter relating to its operations, policies or practices.

On September 30, 2026, the board of directors appointed Eric Sherb as chief financial officer, effective October 1, 2026. Mr. Sherb is the company's principal financial officer and principal accounting officer. The 8-K is signed by Dr. Vin Menon, co-chief executive officer, and SungJoon Chae, co-chief executive officer and director.

## Who Mr. Sherb is

The filing describes Mr. Sherb as a certified public accountant with more than 18 years of experience in the capital markets. In January 2019 he founded EMS Consulting Services, LLC, an accounting and advisory firm, where he is principal. Through that firm he has provided CFO services, complex technical accounting, U.S. GAAP and SEC reporting, PCAOB audit coordination, IPO readiness, mergers and acquisitions, corporate governance, and oversight of accounting and controllership functions. Before founding the firm he worked at PricewaterhouseCoopers LLP in New York and then at mid-market accounting and advisory firms. He holds a degree from Emory University.

The 8-K says that since February 2026, Mr. Sherb has also served as fractional chief financial officer of MindWave Innovations Inc., a wholly owned subsidiary of the company, through EMS Consulting Services. That engagement will end in connection with his appointment. The filing states that there is no arrangement or understanding between Mr. Sherb and any other person under which he was selected, and that there are no transactions with him that Item 404(a) of Regulation S-K requires the company to report. He has no family relationships with the board or the executive officers.

## Compensation

Under an Executive Employment Agreement effective October 1, 2026, Mr. Sherb will receive a base salary of $60,000 per year. The filing says that figure does not include any equity-based compensation that may be granted to him in the future under the company's equity incentive plan.

## The company and its background

Apimeds Pharmaceuticals US, Inc. is a Delaware corporation listed on the NYSE American under the symbol APUS. Its 10-K for 2025, filed May 4, 2026, describes a merger that closed on December 1, 2025, in which MindWave Innovations Inc. became a direct wholly owned subsidiary of the company. The 10-K says the merger, the preferred stock conversion and the notes conversion triggered a change of control under NYSE American rules, which required a new listing application.

## Financial position

SEC XBRL data show that for fiscal 2025 Apimeds reported research and development expense of $1.6 million and a net loss of $6.0 million, compared with a net loss of $1.4 million in fiscal 2024. Cash from operations was negative $8.9 million in 2025 and negative $733,526 in 2024. Year-end 2025 cash and cash equivalents were $1.6 million, and year-end 2025 short-term investments were $2.0 million, according to a 10-Q filed August 14, 2026. The same data set reports $278,371 of cash and cash equivalents at June 30, 2026.

## What the filing leaves unanswered

This is the second change in the finance seat this year. The interim chief financial officer was reappointed on March 30, 2026 and left six months later, and the filing gives no reason beyond saying there was no disagreement. Mr. Sherb has served the company's subsidiary as fractional chief financial officer since February 2026. The base salary is $60,000 a year, and the filing does not say whether the job is full time.

The new officer takes over a thin balance sheet. Cash and cash equivalents were $278,371 at June 30, 2026, against cash used in operations of $8.9 million in 2025. The filing says nothing about how the company plans to fund itself, and equity grants to Mr. Sherb may be made in the future under the plan.
