The NYSE says Annovis's 30-day average market capitalization was approximately $37.9 million and its stockholders' equity was $9.3 million, both under the $50 million floor. The company's 10-K already carries a going-concern warning and says its cash lasts into the fourth quarter of 2025.

Annovis Bio, Inc. (NYSE: [ANVS](https://aibio.space/companies/annovis-bio/)) received a continued listing notice from the New York Stock Exchange on March 26, 2025, saying it no longer meets Section 802.01B of the NYSE Listed Company Manual. It disclosed the notice in a [Form 8-K filed March 27, 2025](https://www.sec.gov/Archives/edgar/data/1477845/000110465925028803/tm2510633d1_8k.htm) and said it will submit a compliance plan within 45 days.

## The test it failed

Section 802.01B is tripped when two numbers are both low: the average market capitalization over a consecutive 30 trading-day period, and stockholders' equity. Annovis fell under both. The notice puts the 30-day average global market capitalization at approximately $37.9 million as of March 25, 2025. The last reported stockholders' equity, as of December 31, 2024, was $9.3 million. Each measure is under the $50 million threshold.

## The plan and the cure period

The company has told the NYSE it will submit a plan within 45 days of the notice, setting out definitive action to bring the company into conformity within 18 months of receiving the notice. The NYSE then has 45 days to decide whether that is a reasonable demonstration. If the plan is late or rejected, the exchange starts delisting proceedings. If it is accepted, the stock stays listed during the cure period, and the NYSE reviews progress each quarter. Missing the plan or the standards at the end of the 18 months brings suspension and delisting procedures.

Until then, ANVS trades with a ".BC" tag showing it is below the continued listing criteria. The company says the notice does not affect its operations or its SEC reporting, and does not cause a default under its material debt or other agreements.

## Going concern and a short runway

The annual report on Form 10-K, filed March 21, 2025, says substantial doubt exists about the company's ability to continue as a going concern for the next twelve months. As of December 31, 2024, it had cash and cash equivalents of $10.6 million and current liabilities of $3.9 million. The company says it has sufficient resources to support development and operations into the fourth quarter of 2025. That date falls well before the 18-month period the NYSE plan would cover, so the company will need new money to meet both its operations and any plan it files.

## The lead drug and its data

The lead candidate is buntanetap, an orally administered small molecule that Annovis is testing in Alzheimer's disease and Parkinson's disease. The annual report says the company released topline efficacy data from its Phase 3 Parkinson's study on July 2, 2024. The company says those data showed improvement on UPDRS scores in two subgroups, and that across the full intent-to-treat population buntanetap stopped the loss of cognition. Improved cognition in the 12% of patients who already had cognitive problems was reported as statistically significant. The subgroup findings rest on part of the trial population.

For the Alzheimer's and Parkinson's trials together, the annual report says the primary endpoints were safety and tolerability, and that they were met. Cognition and function improvements are described as exploratory endpoints. The company plans to discuss the Parkinson's data with the Food and Drug Administration in a Type C meeting during 2025, and to propose an additional, pivotal Phase 3 trial. It also describes an Alzheimer's Phase 3 program that starts with a six-month period meant to confirm symptomatic effects. None of these steps has happened yet.

## Finance team change

In the same 8-K, under Item 5.02, Annovis reported that William Fricker, whom it had appointed interim chief financial officer on December 4, 2024, will leave that role by mutual agreement on March 27, 2025. The company says the departure was not over any disagreement with the company or its board on accounting or disclosure. Maria Maccecchini, the president and chief executive officer, will serve as principal financial officer on an interim basis.
