Anixa Biosciences filed a $200,000,000 replacement shelf on September 10, 2025, with a $100,000,000 sales program through Cantor Fitzgerald & Co., because its current shelf expires on September 19, 2025 and its clinical programs are still in early trials.

Anixa Biosciences, Inc. filed a Form S-3 registration statement with the SEC on September 10, 2025. It is a replacement for an earlier shelf that expires on September 19, 2025. The offering under the earlier registration will be treated as terminated when the new one takes effect. The base prospectus covers up to $200,000,000 of common stock, preferred stock, purchase contracts, warrants, subscription rights, depositary shares, debt securities and units. That total includes the at-the-market program.

The filing says the company carries forward $94,542,632.87 of unsold securities from the earlier shelf. If it sells any of those before the new shelf takes effect, it says it will file a pre-effective amendment to reduce the carried-forward figure.

## The at-the-market program

A second prospectus covers the sale of up to $100,000,000 of common stock under a sales agreement with Cantor Fitzgerald & Co. If the sales agreement ends, any unsold part of the $100,000,000 can be used in other offerings under the base prospectus. Cantor is to receive a fixed commission of 3.0% of the gross sales price per share sold. The filing says Cantor will be deemed an underwriter under the Securities Act, and that Anixa has agreed to indemnify Cantor and contribute to certain liabilities.

The filing gives 32,916,915 shares of common stock outstanding and a non-affiliate market value of $107,219,609. The last reported sale price on the Nasdaq Capital Market on September 9, 2025 was $2.98 per share.

Ellenoff Grossman & Schole LLP is named as counsel to the company and is to pass on the validity of the securities. Dr. Amit Kumar is chairman and chief executive officer. Anixa says net proceeds would go to general corporate purposes, including clinical and pre-clinical work, new cancer and other healthcare technologies, acquisitions of or investments in other companies, licensing and working capital.

## The business behind the shelf

Anixa develops oncology therapies and vaccines. The company's annual report, filed January 10, 2025, describes two main areas. The first is a chimeric endocrine receptor T cell therapy, a form of CAR-T technology, initially aimed at ovarian cancer. It is developed by the subsidiary Certainty Therapeutics, Inc., which holds an exclusive, royalty-bearing license from The Wistar Institute.

The Phase 1 CAR-T trial has treated patients in dose cohorts. The first two cohorts were expected to be sub-therapeutic, and two of the six patients in those cohorts showed some anecdotal signs of efficacy, described as possible tumor necrosis. As of January 10, 2025, two patients had been treated in the third dose cohort, which appeared well tolerated, and treatment of the fourth cohort, at three times that dose, was to follow. The report describes a dose-escalation trial at Moffitt with up to 24 to 48 patients.

The second area is a breast cancer vaccine. The company holds a license from The Cleveland Clinic Foundation and works with the clinic on a vaccine focused initially on triple-negative breast cancer. The Phase 1 trial, a multiple-ascending dose study, began dosing in October 2021 and is fully funded by a U.S. Department of Defense grant to Cleveland Clinic. Its first segment, Phase 1a, is to include about 24 patients with early-stage triple-negative breast cancer. The report cites a 42% recurrence rate for that group.

## What the filings leave out

The S-3 gives no net loss or cash burn for a period. Its risk factors say Anixa has a history of losses and negative cash flows from operations since inception, with an accumulated deficit of approximately $248,982,000 and approximately $16,029,000 in cash as of July 31, 2025. The $200,000,000 ceiling is well above that cash figure, and the filing does not say how much the company expects to sell. Trial results remain small and early: the CAR-T data involve a handful of patients, and the vaccine trial is a Phase 1 safety study that reports no efficacy figures.

## What comes next

The earlier registration expires on September 19, 2025, and the new shelf takes effect only once it is declared effective. The filing gives no date for the first sale under the Cantor agreement.
