Anavex Life Sciences Corp. (Nasdaq: [AVXL](https://aibio.space/companies/anavex-life-sciences/)) said on September 2, 2026 that The Nasdaq Stock Market has confirmed the company regained compliance with Nasdaq Listing Rule 5250(c)(1). That rule requires Nasdaq-listed companies to file all required periodic reports with the Securities and Exchange Commission. The release is Exhibit 99.1 to a Form 8-K.

## The late filings

On August 28, 2026, Anavex filed its outstanding Form 10-Q reports for the second and third fiscal quarters of 2026, the release says. A later list in the same release gives the periods as the quarters ended March 31, 2026 and June 30, 2026. The company also filed a Form 10-K/A for the fiscal year ended September 30, 2025, and a Form 10-Q/A for the quarter ended December 31, 2025, on that day.

The release names the earlier versions of those reports. The original annual report was filed on November 25, 2025, and the original quarterly report for the quarter ended December 31, 2025 was filed on February 9, 2026. The release does not say when the reports were due, how late they were, or what the amendments changed.

## What the release leaves out

The release says Anavex is now in compliance with all Nasdaq listing standards and that its common stock will keep trading on the Nasdaq Global Select Market under the ticker AVXL. A confirmation of that kind covers timeliness only. It does not address whether the amended filings changed any figures, and the release gives no cause for the delay and no steps taken to prevent another.

The release's headline points to clinical development, but the text reports no new trial results. Its forward-looking statements list keeping up with Nasdaq listing rules as a risk.

## The business and the numbers

The annual report filed on November 25, 2025 describes Anavex as a clinical stage biopharmaceutical company that applies precision medicine to central nervous system diseases. Its pipeline includes ANAVEX 2-73, also called blarcamesine, in three clinical trial indications, and ANAVEX 3-71 in one trial. The report says ANAVEX 2-73 is being developed as a once-daily oral capsule for Alzheimer's and Parkinson's disease, and as an oral liquid for rare diseases such as Rett syndrome and Fragile X.

The Alzheimer's evidence is the thinnest part of the record. The report describes a Phase 2a trial completed in November 2016 that ran 57 weeks in Australia. It was an open-label randomized trial of 32 patients, designed to assess safety and exploratory efficacy. The company says it met both primary and secondary endpoints. The report also says the trial appeared to show that activity was enhanced by an active metabolite, ANAVEX19-144. The efficacy measures it cites are exploratory cognitive and functional scores and biomarker signals of brain activity. This section of the report gives no effect sizes for any of them.

The company describes extensions of that trial as providing extended safety data over a cumulative period of five years. In August 2020, patients who completed those extensions were granted continued access through Australia's Special Access Scheme, a compassionate use program. A genomic analysis of more than 33,000 genes, run with what the report calls a machine learning and artificial intelligence system, identified variants that affected response to the drug, including variants in SIGMAR1, its target.

The financial figures in the amended annual report filed on August 28, 2026 show a net loss of $46.4 million for fiscal 2025, up from $43.0 million for fiscal 2024. Research and development expense was $37.6 million, down from $41.8 million. Cash used in operations rose to $39.0 million from $30.8 million. Year-end cash and cash equivalents were $102.6 million, against $132.2 million a year earlier. Cash stood at $118.3 million at June 30, 2026, according to the quarterly report for that period.

What the release settles is timeliness. What it leaves open is why the reports were late, and whether the amended figures differ from the originals.
