Amylyx Pharmaceuticals, Inc. (Nasdaq: [AMLX](https://aibio.space/companies/amylyx-pharmaceuticals/)) first filed a preliminary prospectus supplement on August 18, 2026, for an offering of $350,000,000 of common stock. That filing left the share count, price and proceeds blank. The Nasdaq closing price on August 18 was $35.11 per share.

A final supplement dated August 19, 2026 fixed the terms. Amylyx is selling 14,090,000 shares at $35.500 per share, or $500,195,000 in total. Underwriting discounts and commissions are $1.988 per share, or $28,010,920, which leaves proceeds of $33.512 per share, or $472,184,080, before expenses. The underwriters have 30 days to buy up to 2,113,500 more shares. Delivery is expected on or about August 21, 2026. The offering uses a shelf registration on Form S-3, File No. 333-293956, filed March 3, 2026.

## Banks, counsel and use of the money

Leerink Partners LLC, Morgan Stanley & Co. LLC, Guggenheim Securities, LLC and LifeSci Capital LLC are representatives of the underwriters and joint bookrunning managers. They take 5,424,650, 5,001,950, 2,818,000 and 845,400 shares. Goodwin Procter LLP of New York is counsel to Amylyx, and Wilmer Cutler Pickering Hale and Dorr LLP of New York represents the underwriters.

Amylyx estimates net proceeds of approximately $471.7 million, or $542.5 million with the option. It intends to use them, with existing cash and securities, to fund the potential U.S. commercial launch of avexitide if approved, including more manufacturing capacity, and for research, working capital and general corporate purposes.

## Dilution

Buyers pay $35.50 against a historical net tangible book value of $2.15 per share at June 30, 2026. The as adjusted figure is $5.67 per share, or about $710.8 million, an immediate dilution of $29.83 per share. There were 111,368,283 shares outstanding at June 30, and the offering would bring the total to 125,458,283.

## The Phase 3 result announced the same day

On August 18, 2026, Amylyx announced topline results from LUCIDITY, a 78-participant Phase 3 trial of avexitide in post-bariatric hypoglycemia, or PBH. Participants were randomized 3:2 to 90 mg once daily or placebo. The company calls the results positive: a 55% reduction in the composite rate of Level 2 and Level 3 hypoglycemic events against placebo (p=0.000003), and all secondary endpoints met. It says most adverse events were mild to moderate and there were no serious adverse events related to avexitide. The most common were diarrhea, injection site erythema and injection site bruising.

These are the company's own topline statements, from a small trial with a 16-week double-blind period, and the summary in the supplement gives no event rates by arm. Amylyx plans to submit a New Drug Application by the end of 2026 and to present the data at a medical meeting. It is in talks with contract manufacturers for commercial supply and says it cannot assure that agreements will be reached on acceptable terms.

## Earlier trials

Avexitide is a first-in-class GLP-1 receptor antagonist. The annual report filed March 3, 2026 says PBH affects approximately 8% of people in the U.S. who have had bariatric surgery, or about 160,000 people, and that there are no approved therapies. The PREVENT trial was a Phase 2, 28-day, randomized, placebo-controlled crossover study of 18 patients. The mean glucose nadir after a meal rose 21% (p=0.001) on 30 mg twice daily and 26% (p=0.0002) on 60 mg once daily, against placebo.

The Phase 2b study was open-label, investigator-initiated and enrolled 16 patients. On 90 mg once daily it reported reductions of 53% (p=0.004) in Level 2 events and 66% (p=0.0003) in Level 3 events. Without blinding and with 16 patients, those reductions are open to bias.

## The money

The annual report shows a net loss of $144.7 million for 2025, against $301.7 million for 2024. Cash used in operations was $123.3 million in 2025 and $167.6 million in 2024. At December 31, 2025, cash and cash equivalents were $226.7 million and short-term investments were $90.3 million. At June 30, 2026, cash and cash equivalents were $49.3 million and short-term investments were $201.4 million. The $472,184,080 in proceeds before expenses is larger than the $123.3 million used in operations in 2025.
