Alumis [priced an upsized public offering on Jan. 7, 2026](https://investors.alumis.com/node/8031/pdf): 17,650,000 shares at $17.00 each, for about $300 million before fees. The clinical-stage company moved one day after it reported [positive phase 3 results](https://investors.alumis.com/news-releases/news-release-details/alumis-envudeucitinib-delivers-leading-skin-clearance-among-next) for envudeucitinib, an oral TYK2 inhibitor, in moderate-to-severe plaque psoriasis.

## What happened

On Jan. 6, Alumis said two parallel trials, ONWARD1 and ONWARD2, had met their co-primary endpoints at week 16. Averaged across the two studies, 74% of patients reached PASI 75 and 59% reached an sPGA score of 0 or 1, both better than placebo with p-values below 0.0001. At week 24, about 65% reached PASI 90 and more than 40% reached PASI 100, according to the [topline release](https://investors.alumis.com/news-releases/news-release-details/alumis-envudeucitinib-delivers-leading-skin-clearance-among-next).

The [trials enrolled more than 1,700 adults](https://investors.alumis.com/news-releases/news-release-details/alumis-envudeucitinib-delivers-leading-skin-clearance-among-next) and randomized them 2:1:1 to envudeucitinib 40 mg twice daily, placebo or apremilast. The drug also beat apremilast on every PASI measure at week 24. The company reported no unexpected safety findings, with headache, nasopharyngitis, upper respiratory infection and acne the most common adverse events.

## Deal terms

The [pricing release](https://investors.alumis.com/node/8031/pdf) said Alumis was selling all the shares and that underwriters had a 30-day option for up to 2,647,500 more at the same price. Closing was expected Jan. 9. Morgan Stanley, Leerink Partners, Cantor and Wells Fargo Securities were the joint book-runners, with Baird and Oppenheimer as co-leads. The sale used a shelf registration declared effective on Aug. 19, 2025.

The [prospectus supplement](https://www.stocktitan.net/sec-filings/ALMS/424b5-alumis-inc-prospectus-supplement-debt-securities-8ad40508bcce.html) put net proceeds at about $281.5 million, or $323.8 million if the option was exercised in full. Alumis said it planned to use the money, with existing cash, to fund a potential U.S. NDA and launch preparations in psoriasis, further development of the pipeline and general corporate purposes.

## Why it matters

The same [prospectus disclosed preliminary cash of about $308.6 million](https://www.stocktitan.net/sec-filings/ALMS/424b5-alumis-inc-prospectus-supplement-debt-securities-8ad40508bcce.html) at Dec. 31, 2025. It also said that, before the offering, that amount would not cover operating needs for 12 months and that there was substantial doubt about the company's ability to continue as a going concern. With the new money, Alumis estimated it could fund operations into the fourth quarter of 2027.

That timeline matters because the plan is expensive. Alumis said it intended to file an NDA in the second half of 2026 and expected topline data from LUMUS, a phase 2b trial in systemic lupus erythematosus, in the third quarter of 2026. Both dates were repeated in its [year-end results](https://investors.alumis.com/news-releases/news-release-details/alumis-reports-year-end-2025-financial-results-and-highlights).

## What it means for investors

The [phase 3 data](https://investors.alumis.com/news-releases/news-release-details/alumis-envudeucitinib-delivers-leading-skin-clearance-among-next) cleared the main bar: separation from placebo and from an approved oral comparator. Raising the same week lets a company sell into strength, and it converts a going-concern warning into a funded plan. The cost is dilution of 17.65 million new shares on the base deal.

Risks remain. [Comparisons](https://www.stocktitan.net/sec-filings/ALMS/424b5-alumis-inc-prospectus-supplement-debt-securities-8ad40508bcce.html) with injectable biologics and with other TYK2 drugs rest on cross-trial reading, which is unreliable because patient populations and endpoints differ. Full data presented at a medical meeting could change how the results are read. The prospectus also said the company will require substantial additional funding after this offering, including for work to bring envudeucitinib to market. The lupus trial is a second binary event, and a miss there would hurt the case for treating TYK2 as a franchise.

## What to watch

Alumis [planned a late-breaking presentation](https://investors.alumis.com/news-releases/news-release-details/alumis-reports-year-end-2025-financial-results-and-highlights) of ONWARD1 and ONWARD2 data at the American Academy of Dermatology meeting on March 27 to 31, 2026. After that come the NDA submission in the second half of 2026 and the LUMUS lupus readout in the third quarter.
