Alamar Biosciences, Inc. (Nasdaq: [ALMR](https://aibio.space/companies/alamar-biosciences/)) priced its initial public offering of 11,250,000 shares of common stock at $17.00 per share, according to a prospectus dated April 16, 2026. The Fremont, California company's shares were approved for listing on the Nasdaq Global Select Market. The company is an emerging growth company and a smaller reporting company.

## The pricing and the banks

At the public price, the offering totals $191,250,000. Underwriting discounts and commissions are $1.19 per share, or $13,387,500 in total. Proceeds to the company before expenses are $15.81 per share, or $177,862,500. Alamar estimates net proceeds of approximately $171.5 million, or approximately $198.2 million if the underwriters buy the extra shares. It says it will use the money, together with existing cash, for general corporate purposes, including working capital, operating expenses and capital expenditures.

The cover names J.P. Morgan, BofA Securities, TD Cowen, Leerink Partners and Stifel as underwriters and does not say which of them lead the deal. The 30-day option covers up to 1,687,500 additional shares at the IPO price, less the discounts and commissions. After the offering, 66,521,425 shares will be outstanding, or 68,208,925 if the option is exercised in full. Neither the prospectus cover nor the 8-K names counsel to the company or to the underwriters.

## The closing

Alamar filed a Form 8-K reporting that it completed the IPO on April 20, 2026. The sale covered 12,937,500 shares at $17.00, a total that includes the full exercise of the underwriters' option for 1,687,500 shares. The 8-K puts aggregate gross proceeds at approximately $219.9 million, before underwriting discounts, commissions and estimated offering expenses, and gives no net figure. On the closing date the company also filed an amended and restated certificate of incorporation in Delaware and adopted amended and restated bylaws, as Exhibits 3.1 and 3.2.

## What investors are buying

Alamar describes itself as a commercial-stage proteomics company. Its NULISA technology is meant to detect protein biomarkers at very low concentrations in blood. The ARGO HT System, its automated instrument, launched commercially in January 2024 and is currently available for research use only. The company says it has more than 300 customers in 25 countries and that all ten of the top ten biopharma companies by 2024 revenue are customers. Those are the company's claims. It also says it intends to submit a second instrument, the ARGO HT/DX, to the FDA for marketing authorization in 2027.

Revenue was $25.1 million in 2024 and $74.2 million in 2025, and about half of the 2025 total came from consumables. Gross margin was 34% in 2024 and 56% in 2025. The company still loses money. It reports net losses of $47.1 million in 2024 and $29.8 million in 2025, and says it has had negative cash flows from operations since inception.

For the first quarter of 2026, the prospectus gives preliminary ranges: revenue between $25.2 million and $26.2 million, against $13.1 million a year earlier, and an operating loss between $13,250 thousand and $12,000 thousand, against $8,553 thousand. Ernst & Young LLP has not audited, reviewed or compiled those numbers, and the prospectus says actual results may differ.

## The balance sheet before and after

At December 31, 2025, Alamar held cash and cash equivalents of $30,002 thousand and had a stockholders' deficit of $158,954 thousand. Adjusted for $56.2 million of net proceeds from convertible notes issued in January 2026 and for the conversion of preferred stock and notes, cash is $86,178 thousand. Adjusted again for this offering, cash is $258,246 thousand and stockholders' equity is $303,941 thousand.

## Risks the company lists

The prospectus warns that investing in the stock "involves a high degree of risk." The summary of risks says Alamar expects to keep losing money and may not reach profit, has a short commercial history, and faces a highly competitive proteomics market. It also cites dependence on researchers who rely on government funding, including NIH grants, reliance on single-source and sole-source suppliers, tariffs and trade barriers, and possible FDA regulation of its products. Alamar says it has been, and may again be, party to legal proceedings and intellectual property litigation.
