Akebia Therapeutics received a deficiency letter from the Listing Qualifications Department of Nasdaq on October 21, 2026, and reported it in an 8-K filed October 23, 2026. The letter says the bid price of the common stock closed below $1.00 for the last 30 consecutive business days. That is the minimum required for continued listing on The Nasdaq Capital Market under Nasdaq Listing Rule 5550(a)(2). The notice has no immediate effect on the listing.

## The compliance clock

Under Rule 5810(c)(3)(A), Akebia has an initial 180 calendar days, until April 19, 2027, to regain compliance. To do so, the closing bid price must be at least $1.00 a share for a minimum of 10 consecutive business days, unless Nasdaq staff extend that ten-day period.

If Akebia does not regain compliance in that window, it may be eligible for a second 180-day period. To qualify, it would need to meet the market value of publicly held shares requirement and the other initial listing standards, except the bid price. It would also have to say in writing that it intends to cure the deficiency during that period, by a reverse stock split if necessary. If Akebia does not qualify, or does not regain compliance by the end of the second period, Nasdaq will say its securities are subject to delisting, and the company could appeal to a Nasdaq Hearings Panel.

The company says it will monitor the closing bid price and evaluate its options, which could include a reverse stock split. The 8-K does not say when it would seek one.

## The business behind the stock

Akebia calls itself a fully integrated biopharmaceutical company with two commercial products for kidney disease. Its 10-K for 2025, filed on February 26, 2026, says the main product, Vafseo (vadadustat), was approved by the FDA in March 2024 for anemia due to chronic kidney disease in adults on dialysis for at least three months. Vafseo entered the market in January 2025. The 10-K says about 290,000 dialysis patients have prescribing access to it, and that it is approved for adults in 37 countries. It puts the current US market opportunity at approximately $1 billion, based on current ESA pricing.

The second product, Auryxia (ferric citrate), reached loss of exclusivity in March 2025. On January 22, 2026, Teva Pharmaceuticals received tentative approval for its generic application. The 10-K says there is currently one authorized generic, but that the company expects additional generic competition in 2026, which it expects to adversely affect its revenue.

The pipeline is mostly early. Praliciguat is in a Phase 2 trial for focal segmental glomerulosclerosis, a rare kidney disease, with the first patient dosed in December 2025. AKB-097, bought from Q32 Bio in November 2025, is expected to enter a Phase 2 basket study in the second half of 2026 in IgA nephropathy, C3 glomerulopathy and lupus nephritis. The 10-K expected AKB-9090 to start a Phase 1 study in healthy volunteers in the first half of 2026, and it calls AKB-10108 preclinical.

## The money

The 10-K financial data show a net loss of $5.3 million for 2025, against $69.4 million for 2024. Research and development expense was $62.4 million in 2025 and $37.7 million in 2024. Cash provided by operations was $68.0 million in 2025, after $40.7 million of cash used in operations in 2024.

Year-end cash and cash equivalents were $184.8 million for 2025 and $51.9 million for 2024. Cash and cash equivalents were $155.5 million at June 30, 2026.

The 2025 net loss of $5.3 million came alongside $62.4 million of research spending, and the financial data give no breakdown of the revenue behind it. The stock now trades below the listing minimum while the company reports $155.5 million in cash at mid-year.

## What comes next

The company's stated plan is to monitor the bid price and consider a reverse stock split. The dates ahead are the April 19, 2027 compliance deadline and the Phase 2 start for AKB-097 that the 10-K expects in the second half of 2026. The notice names no financing plan.
