# AIM ImmunoTech prices $8.0 million unit offering as it works to fix equity shortfall

Tickers [AIM](https://aibio.space/companies/aim-immunotech/)

AIM ImmunoTech sold units at $4.00 with two warrants each, a month after a 1-for-100 reverse split, and its prospectus says there is likely substantial doubt about its ability to continue as a going concern. It must lift stockholders' equity to at least $6 million by June 11, 2026.

## The offering

AIM ImmunoTech Inc. (NYSE American: [AIM](https://aibio.space/companies/aim-immunotech/)) filed a prospectus supplement on July 30, 2025 for a reasonable best efforts offering of up to 2,000,000 units at $4.00 each, for gross proceeds of approximately $8.0 million. Each unit is one share of common stock, or a pre-funded warrant in its place, plus one Class E warrant and one Class F warrant. The company announced the closing on July 31, 2025, and said the pre-funded warrants were priced at $3.999.

Both warrants carry an exercise price of $4.00 per share and were exercisable immediately. The Class E warrants expire on the fifth anniversary of issuance and the Class F warrants on the 18-month anniversary. The pre-funded warrants are meant for buyers who would otherwise pass a 4.99% ownership limit, which a holder can raise to 9.99%.

## Placement agent, fees and counsel

Maxim Group LLC was the sole placement agent. The company pays Maxim a cash fee of 7.0% of gross proceeds, which the prospectus puts at $560,000, plus certain out-of-pocket expenses. It also issues Maxim warrants for 5.0% of the units sold, at an exercise price of 110% of the offering price. The prospectus shows proceeds of $7,440,000 before other expenses and estimates net proceeds at about $7.1 million. There was no minimum amount and no escrow, so the company could sell fewer units than offered. The offering sections of the prospectus name no law firm for the company or for Maxim.

## Where the money goes

The company says it will use the proceeds for working capital, to pay outstanding and future payables, to bolster clinical programs and for manufacturing. At a full raise it shows 37% to payables, 32% to clinical programs, 26% to working capital and general purposes, and 5% to manufacturing. It says that at 25% of the offering, 60% would go to payables.

The prospectus says that, given continued losses, it is likely there is substantial doubt about AIM's ability to continue as a going concern. Cash, cash equivalents and marketable securities were $2,247 thousand at March 31, 2025, against $1,950 thousand of short-term debt and an accumulated deficit of $430,533 thousand. On June 30, 2025 Streeterville Capital LLC lent AIM $250,000 net under an unsecured bridge note of $310,000, due in 120 days. An earlier Streeterville note of $3,301,250, issued for $2.5 million in cash, matures in February 2026 and calls for $250,000 monthly payments, which Streeterville has accepted in stock for a number of months.

## Listing and dilution

NYSE American suspended trading in AIM shares on April 7, 2025, and they traded on the OTC Pink market as AIMID. The board authorized a 1-for-100 reverse split effective June 12, 2025, and the exchange reinstated the shares on June 17, 2025. The prospectus cites a closing price of $7.20 on June 28, 2025, above the $4.00 unit price, and 764,188 shares outstanding before the offering against 2,764,188 afterward if no pre-funded warrants are issued and no warrants are exercised. It states dilution of $3.63 per share to new investors and adds that significant additional dilution since March 31, 2025 is not reflected.

AIM is out of compliance with the exchange's stockholders' equity rule, which requires at least $6,000,000. Its stockholders' deficit was approximately negative $3.9 million at March 31, 2025. The exchange accepted a plan requiring compliance by June 11, 2026, and the company says its shares may be delisted if it misses that date. It also says that without enough capital from this offering and other sources, its securities "could be subject to delisting."

## The business

AIM calls itself an immuno-pharma company. Its lead product is the investigational drug Ampligen (rintatolimod), and a Phase 2 study of Ampligen with Imfinzi in late-stage pancreatic cancer, cleared by the Erasmus Medical Center Safety Committee, has begun enrolling. The 10-K filed March 27, 2025 shows a net loss of approximately $17,320,000 for 2024, down from $28,962,000, and revenue of $170,000 from the Ampligen Cost Recovery Program. Cash used in operating activities was approximately $14,888,000, and general and administrative expenses fell to $13,714,000 from $21,137,000, mainly on lower legal and consulting fees tied to the 2023 stockholder nomination litigation.
