AIM ImmunoTech Inc. said on June 20, 2025 that NYSE American has sent it a warning letter for not meeting the exchange's minimum stockholders' equity requirements. Sections 1003(a)(ii) and 1003(a)(iii) of the NYSE American Company Guide require stockholders' equity of $4.0 million or more for a company with losses in three of its four most recent fiscal years, and $6.0 million or more for a company with losses in its five most recent fiscal years. The company had a stockholders' deficit of negative $3.9 million as of March 31, 2025, and it has reported losses in each of the five fiscal years ended December 31, 2024.

NYSE American first warned AIM on December 17, 2024 for the same reasons. It sent the new letter because the deficiency remained when AIM filed its first-quarter report on Form 10-Q. On February 26, 2025, the exchange accepted the company's plan to regain compliance by June 11, 2026, and the company says that deadline still stands.

AIM says the letter "in no way has any effect" on its trading or its SEC reporting. Its common stock recommenced trading on NYSE American on June 17, 2025 under the symbol AIM. The release does not describe the plan that the exchange accepted.

## The business and its losses

AIM calls itself an immuno-pharma company developing therapeutics for several cancers, immune disorders and viral diseases, including COVID-19. Its lead product is Ampligen (rintatolimod), which the company describes as a first-in-class investigational drug and a dsRNA and highly selective TLR3 agonist. The release still calls Ampligen investigational, and the company's revenue is small. Its annual report for 2024, filed on March 27, 2025, shows revenue of $170,000 from the Ampligen Cost Recovery Program, down $32,000 from $202,000 in 2023. The report says all revenue came from the EAP and an FDA-approved open-label treatment protocol called AMP 511.

The 2024 net loss was approximately $17,320,000, compared with $28,962,000 in 2023. The annual report lists lower general and administrative expenses first among the reasons. General and administrative expenses fell to $13,714,000 from $21,137,000, and the annual report attributes most of that drop to a $7,211,000 decrease in legal, financial and consulting fees. Those fees were higher in 2023 because of expenses from stockholder nomination litigation. Research and development expenses fell to $6,197,000 from $10,939,000.

The loss per share was $(0.31) for 2024, against $(0.60) a year earlier. The weighted average number of shares rose to 56,016,870 from 48,585,404, so existing holders now share the loss with more stock.

## Cash, tax-loss sales and debt

Cash used in operating activities was approximately $14,888,000 in 2024, compared with $21,267,000 in 2023. Investing activities provided $4,706,000, mostly from $5,623,000 in proceeds from the sale of marketable securities. Financing activities provided $6,444,000. That included $892,000 in net proceeds from stock sales and $2,500,000 from notes payable, which the company did not have in 2023.

The company also sells its New Jersey net operating losses under the Technology Business Tax Certificate Transfer Program. That source is shrinking. In 2024 the sales produced a ($1,604,000) impact, down from a $1,667,000 benefit in 2023, because AIM reached the program's lifetime cap of $20,000,000 in cumulative NOL sales. The business section of the annual report text available here does not state a year-end cash balance.

## What the company says comes next

The company's release says it still has until June 11, 2026 to regain compliance. The release does not say how AIM will raise the equity needed to close a deficit of negative $3.9 million, and it gives no date for a new financing or a new tax-loss sale.

The stockholders' deficit, the cap on New Jersey NOL sales and the $2,500,000 in notes payable are the facts in the filings that bear on how AIM could meet the June 11, 2026 deadline.
