(now Jade Biosciences, Inc.) filed a communication published by Jade Biosciences on March 3, 2025, as material for the two companies' proposed merger. Aerovate filed further Jade communications on March 26, 2025, and April 7, 2025. The deal rests on an Agreement and Plan of Merger dated October 30, 2024. Under it, an Aerovate subsidiary will merge into Jade, and Jade will then merge into a second Aerovate subsidiary that survives as a wholly owned unit of Aerovate. The deal is subject to conditions in the agreement. The filings say the combined company's stock is expected to trade on Nasdaq under the ticker symbol JBIO after closing. The proposed transactions also include a concurrent investment and cash dividends that Aerovate expects to pay in connection with the merger. The filings list the risks to completing the deal. These include Aerovate failing to obtain stockholder approval, the concurrent investment not closing on time or at all, and adjustments to the exchange ratio that could change how much of the combined company each group of holders owns.
