It filed a Form 12b-25, known as an NT 10-K, for the report covering the period ended June 30, 2026. That form gives an annual report an extension to the fifteenth calendar day after the original due date. The company said it could not file the report "without unreasonable effort or expense" because the audit of its financial statements had not been completed. It expects to file the 10-K, with the financial statements, within the extension period. It said it has filed all other periodic reports required in the preceding 12 months, and it answered no when asked whether it expects a significant change in results from the prior year. The notice is signed by Xiaomin Chen as chief executive officer. The company is a Nevada holding company based in Tainan City, Taiwan. ## The business The company operates through Advanced Biomed Taiwan and Advanced Biomed HK. Its 10-K for the year ended June 30, 2025, filed October 8, 2025, describes a microfluidic platform that detects and sorts circulating tumor cells in blood, for early screening, diagnosis and staging of cancer. Its devices include A+ Pre, AC-1000, A+CellScan and A+SCDrop, with matching biochips. Products sold in China must clear the National Medical Products Administration in three steps: research and development, registration application and registration review. The company says its products will be sold only once the required licenses and approvals are in hand. Its lung cancer screening test, A+ LCGuard, is meant to help tell benign from malignant pulmonary nodules. The company says it finalized development between August 2020 and September 2022, and the test is a Class III medical device that needs clinical trials before registration. The company began drafting the clinical research protocol with a contract research organization in June 2025, expected ethics approval by the end of October 2025, and planned to start clinical research in November 2025, with completion expected within six months of that date. The 10-K says those results "may differ from expectations and may not support" the planned path to larger trials. It also says that delays in ethical approval or in recruiting participants could postpone the larger trial and the product launch. The 10-K describes four immunostaining kits that the company has finished developing and has submitted for registration in China. Those kits identify epithelial, mesenchymal and epithelial-to-mesenchymal circulating tumor cells and tumor-associated macrophages. It also describes A+PerfusC, a compact 3D cell culture incubator that the company calls its latest development; it supports up to 12 days of continuous culture to form tumor spheroids and organoids in vitro. A subsidiary in Shanghai owns some of the research equipment and patents and is to run clinical trial work in mainland China through contract research organizations. The company says it plans to set up operations in North America and Europe in the future. The 10-K gives no dates for those plans. ## The financial record and the open questions The last annual report before this notice, filed October 8, 2025, reported research and development expense of $909,771 for the year ended June 30, 2025. The NT 10-K itself gives no revenue, loss or cash figures for the year ended June 30, 2026, and the company answered no when asked whether it expects a significant change in results from the prior year. It does not name the auditor and does not say what caused the audit delay. The notice discloses no revenue figure. According to the 10-K, the company's products still need clearance from China's regulator, and its lung cancer screening test had not completed clinical research. The 10-K says the company cannot guarantee that any clinical research or trial will meet its anticipated outcomes.
