Adial Pharmaceuticals, Inc. (Nasdaq: [ADIL](https://aibio.space/companies/adial-pharmaceuticals/)) reported in a Form 8-K dated April 7, 2026 that its Compensation Committee approved restricted stock awards to its named executive officers and several directors on that date. The awards are restricted stock awards, or RSAs, made under the company's 2017 Equity Incentive Plan.

## The awards

Cary Claiborne, the chief executive officer and a director, received 37,985 RSAs. Of those, 28,800 were issued for his role as chief executive officer and 9,185 for his role as a director. Vinay Shah, the chief financial officer, received 17,325 RSAs, all for his role as chief financial officer. Tony Goodman, the chief operating officer and a director, received 26,510 RSAs, of which 17,325 were for his role as chief operating officer and 9,185 for his role as a director.

The committee also approved 9,185 RSAs each for directors Kevin Schuyler and Robertson H. Gilliland, as compensation for their board service. It approved options to purchase 9,185 shares of common stock for director Kermit Anderson, at an exercise price of $1.64 per share. The director awards and options are subject to the same vesting terms as the executive awards.

## Vesting terms

The RSAs vest in full on the earlier of two dates: the one-year anniversary of the grant date, or the occurrence of a change of control as defined in the 2017 Equity Incentive Plan, as amended. The same vesting terms apply to the director awards and to the options described above.

On April 7, 2026, the board also approved a standard form of Restricted Stock Award Agreement for use under the 2017 plan, including for the grants to the named executive officers. The form is filed as Exhibit 10.1 to the 8-K and is incorporated by reference.

## Background on Adial

Adial describes itself as a clinical-stage biopharmaceutical company focused on the development of therapeutics for addiction and related disorders. Its investigational new drug candidate, AD04, is being developed for alcohol use disorder. The company says AD04 was investigated in a Phase 3 clinical trial, the ONWARD trial, and that it is now focused on completing the clinical development program in specified genetic subgroups to meet regulatory requirements, primarily in the United States and secondarily in Europe and the United Kingdom.

The company has no products approved for sale and has not generated significant revenue since its inception. Its 10-K for 2025 said Adial had funded its operations mainly through private and public placements of debt and equity securities and an equity line. The company said its cash and cash equivalents were not expected to be sufficient to fund operations for the twelve months after that report was filed.

Adial also reported a collaboration framework agreement with Molteni Farmaceutici, signed March 3, 2026, for a proposed exclusive partnership covering AD04 in Europe. The company estimated the total potential value from royalties and milestones at nearly $60 million if AD04 progresses through clinical development and reaches the European market, but noted that a definitive agreement had not yet been executed.

## Financial position

Adial reported research and development expense of $2.6 million for 2025, compared with $3.2 million for 2024. Its net loss was $8.0 million for 2025 and $13.2 million for 2024. Cash from operations was negative $6.5 million in 2025 and negative $6.9 million in 2024. Year-end cash and cash equivalents were $5.9 million at the end of 2025 and $3.8 million at the end of 2024.

## What the grants cost and what they signal

The grants go to executives and directors of a company that told investors in March its cash would not last twelve months. The 10-K put the net loss at $8.0 million for 2025 and the accumulated deficit at approximately $90.0 million. The 8-K does not give the dollar value of the awards or say what share of the company they represent. Because the awards vest in full on a change of control, they pay out in a sale of the company, a point the filing does not discuss. The Molteni deal is still a framework with no definitive agreement, and the company has no approved product.
