## The program

Acumen Pharmaceuticals, Inc. (Nasdaq: [ABOS](https://aibio.space/companies/acumen-pharmaceuticals/)) filed a [prospectus supplement dated November 13, 2025](https://www.sec.gov/Archives/edgar/data/1576885/000162828025051852/acumen-424b5.htm) for the sale of up to $50,000,000 of its common stock. The company entered into an amended sales agreement with BofA Securities, Inc., Stifel, Nicolaus & Company, Incorporated and BTIG, LLC as sales agents. The $50,000,000 sits inside a shelf registration of up to $200,000,000 (Registration Statement No. 333-278280), and the supplement attaches to a prospectus dated March 27, 2024.

Through the date of the filing, Acumen had sold shares under the sales agreement for an aggregate purchase price of $12.3 million, which leaves $37.7 million available. The filing does not say when those sales were made, how many shares they covered or at what price. Sales may be made at the market, including block trades and ordinary brokers' transactions on the Nasdaq Global Select Market, or by negotiated transactions. The agents are not required to sell any specific number or dollar amount and will use commercially reasonable efforts. Acumen may also sell shares to the agents as principal under a separate terms agreement.

## Fees, banks and counsel

The agents are entitled to a commission of up to 3.0% of the gross sales price per share sold. Each will be deemed an underwriter under the Securities Act, and Acumen agreed to provide indemnification and contribution for certain liabilities. No funds will be held in escrow, trust or a similar arrangement. The offering ends at the earliest of the sale of $50,000,000 of stock, expiration of the registration statement or termination of the agreement.

Ropes & Gray LLP will pass on the validity of the securities for Acumen. Latham & Watkins LLP is counsel to BofA Securities, Stifel and BTIG. Ernst & Young LLP audited the financial statements for 2024.

## Dilution

On November 11, 2025 the last reported sale price was $1.97 per share. At that price, a sale of 25,380,710 shares would raise the full $50,000,000 and leave up to 85,954,135 shares outstanding, against 60,573,425 outstanding at September 30, 2025. The actual number will vary with price. The prospectus warns that buyers may suffer immediate dilution, that prices will vary because sales go directly into the market, and that options, restricted stock units and future offerings could dilute further. Options for 12,521,864 shares at a weighted-average exercise price of $3.47 per share were outstanding. That exercise price is above the $1.97 market price.

The company intends to use the proceeds primarily to fund the ongoing and future trials of sabirnetug, to fund chemistry, manufacturing and other research and development, and for working capital and general corporate purposes. It says it has no current commitments for acquisitions or in-licensing.

## The science

Acumen is a clinical-stage company developing what it believes is a disease-modifying approach to a key underlying cause of Alzheimer's disease, soluble amyloid-beta oligomers. Its lead candidate, sabirnetug, is in the Phase 2 ALTITUDE-AD trial. The company completed enrollment in March 2025 and expects to announce top-line results in late 2026. The trial is randomized, double-blind and placebo-controlled with three arms, up to 180 participants per arm and a total of 542 participants with mild cognitive impairment or mild dementia. The planned primary outcome is the Integrated Alzheimer's Disease Rating Scale at 18 months. Doses are 35 mg/kg and 50 mg/kg intravenously every four weeks.

The human evidence so far is small. In July 2023 the company said the Phase 1 INTERCEPT-AD trial met its primary and secondary objectives in 62 participants with early Alzheimer's disease. In March 2025 it reported a Phase 1 study in healthy volunteers of subcutaneous dosing, with 16 subjects on four weekly doses of 1,200 mg and 12 on a single intravenous dose of 2,800 mg. Injection site reactions were reported in 62.5%, all mild.

In July 2025 Acumen signed a collaboration, option and license agreement with JCR Pharmaceuticals Co. Ltd. for a brain-penetrating therapy. JCR is eligible for an option exercise payment of $9.25 million, milestones of up to $40 million for development and up to $515 million for sales, a total of up to $555 million, and single-digit percentage royalties.
