AbbVie Inc. (NYSE: [ABBV](https://aibio.space/companies/abbvie/)) agreed on February 18, 2025 to sell four series of senior notes in a public offering and expects net proceeds of approximately $3.98 billion. ## The notes

Under an [underwriting agreement](https://www.sec.gov/Archives/edgar/data/1551152/000110465925015015/tm255723d4_ex1-1.htm) dated February 18, 2025, AbbVie agreed to issue and sell $1,250,000,000 in aggregate principal amount of 4.650% senior notes due 2028, priced to the public at 99.867% of principal amount. ## Who is involved

BofA Securities, Inc., J.P. Morgan Securities LLC, Morgan Stanley & Co. LLC, Barclays Capital Inc. and Mizuho Securities USA LLC are the representatives of the several underwriters named in Schedule II of the agreement. The notes will be issued under an indenture dated as of November 8, 2012 between AbbVie and U.S. Bank Trust Company, National Association, as trustee, supplemented by Supplemental Indenture No. 11, to be dated as of February 26, 2025.

## What AbbVie plans to do with the money

AbbVie intends to use the net proceeds, together with cash on hand, to repurchase, redeem, satisfy and discharge, defease, make a tender offer for or otherwise repay at maturity three groups of notes, and to pay any premium and accrued and unpaid interest. It may also use the money for general corporate purposes. The first group is its 3.600% senior notes due 2025, with a stated maturity date of May 14, 2025 and an outstanding principal amount of $3.750 billion. The second is its 3.800% senior notes due 2025, with a stated maturity date of March 15, 2025 and $2.890 billion outstanding. The third is the 3.800% senior notes due 2025 of Allergan Funding SCS (formerly known as Actavis Funding SCS), maturing March 15, 2025, with $130.225 million outstanding.
