4D Molecular Therapeutics, Inc. (Nasdaq: [FDMT](https://aibio.space/companies/4d-molecular-therapeutics/)) entered into exchange agreements on January 22, 2026 with RA Capital Healthcare Fund, L.P. and Biotechnology Value Fund, L.P. and its affiliates (BVF). RA Capital exchanged 4,850,000 shares of common stock for a pre-funded warrant to acquire 4,850,000 shares. BVF exchanged 1,750,000 shares for a pre-funded warrant to acquire 1,750,000 shares.

After the exchange closed, the company had 51,007,874 shares outstanding as of January 23, 2026. That number does not include 16,935,665 shares issuable on exercise of pre-funded warrants outstanding on that date.

The pre-funded warrants have an exercise price of $0.0001 per underlying share. They can be exercised at any time and do not expire until fully exercised. A beneficial ownership blocker stops a holder from exercising if the exercise would push its ownership, with affiliates, above either 4.99% or 9.99% of the outstanding common stock, as applicable to each warrant.

The share count for each warrant is adjusted for stock dividends, splits, combinations, reclassifications and similar events, and for distributions of assets to stockholders.

The company issued the warrants without registration under the exemption in Section 3(a)(9) of the Securities Act of 1933.
