# Jazz has an approval in hand and a bigger balance sheet to carry

The FDA cleared Ziihera in first-line gastroesophageal cancer in August. Jazz then bought Actio and sold $1.1 billion of exchangeable notes.

## The technology

Jazz is a commercial rare-disease company with three franchises. Sleep is the anchor: Xywav, a low-sodium oxybate, [sold $471 million in the second quarter](https://www.sec.gov/Archives/edgar/data/1232524/000123252426000044/a2q26financialpr.htm) and ended the period with about 17,125 active patients. Epilepsy rests on Epidiolex, a cannabidiol medicine that sold $292 million. Oncology is the newer leg, built from purchases and licenses: Zepzelca, Modeyso, Rylaze, Defitelio, Vyxeos and now Ziihera.

Ziihera (zanidatamab) is the one to understand. It is a bispecific antibody that binds two sites on HER2. On Aug. 25 the FDA [approved it for first-line HER2-positive gastroesophageal cancer](https://www.sec.gov/Archives/edgar/data/1232524/000162828026058864/exhibit991pr.htm) in two regimens, backed by a Phase 3 trial that put median overall survival at 26.4 months for the triplet against 19.2 months for trastuzumab plus chemotherapy.

## The odds

Jazz's near-term risk is more commercial than scientific. The approved products have data and labels. The remaining clinical bets are the Phase 3 [ACTION trial of Modeyso](https://clinicaltrials.gov/study/NCT05580562), where Jazz expects an interim overall survival analysis in the first half of 2027, the Epidiolex expansion trials, registrational zanidatamab studies in breast cancer, and ABS-1230, which Jazz bought in September.

The [published base rates](https://go.bio.org/rs/490-EHZ-999/images/ClinicalDevelopmentSuccessRates2011_2020.pdf) frame these. Across all diseases, 57.8% of Phase III programs reach an NDA or BLA filing and 52.4% of programs that enter Phase III go on to approval. Rare disease does somewhat better, with 60.4% of Phase III programs reaching a filing and a 17.0% chance of approval from Phase I, against 7.9% overall. ABS-1230 sits near the start of that curve: it is in a Phase 1b/2a trial that Jazz says is built to serve as the registrational study.

## The money

Jazz [ended June with $2.2 billion in cash and investments](https://www.sec.gov/Archives/edgar/data/1232524/000123252426000044/a2q26financialpr.htm) and $4.4 billion of debt principal, plus $885 million of undrawn revolver capacity. Revenue was $1.2 billion in the quarter, and 2026 guidance is $4.60 billion to $4.75 billion. First-half operating cash flow was $824 million.

Since June the company has spent and raised. It [paid $820 million upfront for Actio](https://www.sec.gov/Archives/edgar/data/1232524/000119312526341270/d106596dex991.htm), and it [priced $1.1 billion of 1.875% exchangeable notes](https://www.sec.gov/Archives/edgar/data/1232524/000119312526377073/d127542dex992.htm) while repurchasing about $225 million of shares. The notes have a six-year maturity and an exchange price near $355 a share. Third-quarter results will show the new cash and debt totals.

## The risks

Concentration is the first. Xywav and Epidiolex made up roughly 63% of second-quarter revenue by my arithmetic from the reported lines, so any pressure on either shows up fast. Second, several oncology lines are shrinking or changing: Vyxeos revenue fell, and Jazz said it will [remove the second-line small cell lung cancer indication from the Zepzelca label](https://www.sec.gov/Archives/edgar/data/1232524/000123252426000044/a2q26financialpr.htm).

Third, the Ziihera launch is early, and its label carries boxed warnings for diarrhea and embryo-fetal toxicity. Fourth, Jazz is [searching for a new chief commercial officer](https://www.sec.gov/Archives/edgar/data/1232524/000162828026065497/jazz-20261006.htm) after Samantha Pearce said on Oct. 6 she plans to retire by June 30, 2027 or when a successor starts. Last, debt is large relative to cash, and more deals would add to it.

## Our read

Jazz looks like a cash-generating company ([$824 million of operating cash flow in the first half](https://www.sec.gov/Archives/edgar/data/1232524/000123252426000044/a2q26financialpr.htm)) that is using its sleep and epilepsy income to acquire and build a rare-oncology and rare-neurology pipeline. The August approval in gastroesophageal cancer is the biggest single event, and the [second interim survival result](https://www.targetedonc.com/view/zanidatamab-chemo-os-benefit-her2-gastroesopheageal) on Aug. 31 gives the doublet regimen support too.

What we cannot yet see is how large the Ziihera launch becomes. A few weeks of sales will not settle that. The Modeyso survival analysis in the [first half of 2027](https://www.sec.gov/Archives/edgar/data/1232524/000123252426000044/a2q26financialpr.htm) and any KYRON data from the Actio asset are the next scientific tests. The financial test is whether revenue growth outruns the cost of the new debt and the purchases. This is analysis, not advice.
